Where applicable, each Selling Shareholder has been duly formed and is validly existing as a company limited by shares in good standing under the laws of the jurisdiction of its formation. The beneficial owner(s) of each Selling Shareholder are as disclosed in the Registration Statement, the Pricing Prospectus and the Prospectus or any amendment or supplement thereto. All consents, approvals, authorizations and orders necessary for the execution and delivery by the Selling Shareholder of this Agreement, and for the sale and delivery of the Selling Shareholders Shares to be sold by the Selling Shareholder hereunder, have been obtained.

The shareholders of the Selling Shareholder are as disclosed in the Registration Statement, any Preliminary Prospectus, the Prospectus and the Pricing Prospectus or any amendment or supplement thereto. All consents, approvals, authorizations and orders necessary for the execution and delivery by the Selling Shareholder of this Agreement, and for the sale and delivery of the Firm Resale Shares to be sold by the Selling Shareholder hereunder, have been obtained.
