Duties and functions. 23.2.1 The Independent Engineer shall discharge its duties and functions substantially in accordance with the terms of reference set forth in Schedule 16.
23.2.2 The Independent Engineer shall submit regular periodic reports (at least once every month) to the Authority in respect of its duties and functions set forth in Schedule 16.
Duties and functions. (a) During the Employment Period, the Executive shall be employed as Chief Executive Officer of both DFG and DFC. The Executive will report solely and directly to the Boards of Directors of DFG and DFC, respectively. The Company will use its commercially reasonable efforts, subject to stockholder vote, to nominate the Executive to the boards of directors of both DFG and DFC (each, as applicable, the “Board”) for so long as he is employed by DFG and DFC in the capacity of Chief Executive Officer.
(b) During the Employment Period, the Executive shall have all authorities, duties and responsibilities customarily exercised by an individual serving as Chief Executive Officer of DFG and/or DFC in a corporation the size and nature of the Company and shall be assigned no duties or responsibilities that are materially inconsistent with, or that materially impair his ability to discharge, the foregoing duties and responsibilities.
(c) During the Employment Period, the Executive will devote substantially all of his time and efforts to the business of the Company and will not engage in consulting work or any trade or business for his own account, or for or on behalf of any other person, firm or corporation, that competes, conflicts or interferes with the performance of his duties hereunder. The Executive may continue to serve as a director of Cloverdale Press Inc., serve as a director of other for-profit corporations with the consent of the Board (which consent shall not be unreasonably withheld), engage in educational, charitable and/or civic activities, including service as a board member or an advisor, engage in public speaking and manage his family and personal affairs, including any investments, provided that any such activities do not conflict or compete with the Company’s business activities and so long as such activities do not interfere with the Executive’s responsibilities under this Agreement.
Duties and functions. 21.2.1 The Independent Engineer shall discharge its duties and functions substantially in accordance with the terms of reference set forth in Schedule-N.
21.2.2 The Independent Engineer shall submit regular periodic reports (at least once every month) to the Authority in respect of its duties and functions set forth in Schedule-N.
21.2.3 A true copy of all communications sent by the Authority to the Independent Engineer and by the Independent Engineer to the Authority shall be sent forthwith by the Independent Engineer to the Concessionaire.
21.2.4 A true copy of all communications sent by the Independent Engineer to the Concessionaire and by the Concessionaire to the Independent Engineer shall be sent forthwith by the Independent Engineer to the Authority.

For the avoidance of doubt, the Parties expressly agree that the functions of the Independent Engineer under this Article 23 shall not include Commercial Complex.
23.2.2 The Independent Engineer shall submit regular periodic reports (at least once every month) to the Authority in respect of its duties and functions..
Duties and functions. 22.2.1 The Independent Engineer/ Additional Engineer shall discharge its duties and functions substantially in accordance with the terms of reference set forth in such an Agreement to be entered into with it. For the avoidance of doubt, the Parties expressly agree that the functions of the Independent Engineer/ Additional Engineer under this Article 22 shall not include Commercial Complex.
22.2.2 The Independent Engineer/ Additional Engineer shall submit regular periodic reports (at least once every month) to the Authority in respect of its duties and functions.
22.2.3 Schedule-Q to the Concession Agreement shall be read along with Annex-A (Concession Agreement signed between Authority and Concessionaire) which specifically defines the duties and functions of the Independent Engineer. In the event of conflict between the clauses and provisions of Agreement with Independent Engineer and Concession Agreement signed between Concessionaire and Authority, the Concession Agreement shall prevail.
Duties and functions. The PMU shall have the overall responsibility of monitoring and supervision of the Project. The detailed terms and conditions for appointment of Project Management Unit and its rights, responsibilities and scope of services are specified in Schedule 7. The PMU shall coordinate with the Authority and keep them updated on all activities and approvals accorded to the Concessionaire on a regular basis. Further, any event of default by PMU as part of its obligations shall be treated as Authority Event of Default and its consequence thereof.
Duties and functions. As detailed in the Palestinian law, the Palestinian Police shall carry out its duties and functions in accordance with this Agreement as follows:
a. maintaining internal security and public order;
b. protecting the public and all other persons present in the areas, as well as protecting their property, and acting to provide a feeling of security, safety and stability;
c. adopting all measures necessary for preventing crime in accordance with the law;
d. protecting public installations, infrastructure and places of special importance; e. preventing acts of harassment and retribution;
Duties and functions. (a) The Independent Expert shall discharge its duties and functions substantially in accordance with the terms of reference set forth in Schedule L.
(b) The Independent Expert shall submit regular periodic reports at least [once every month] to the Authority in respect of its duties and functions set forth in Schedule L.
(c) A true copy of all communications sent by the Authority to the Independent Expert and by the Independent Expert to the Authority shall be sent forthwith by the Independent Expert to the Concessionaire.
(d) A true copy of all communications sent by the Independent Expert to Concessionaire and by the Concessionaire to the Independent Expert shall be sent forthwith by the Independent Expert to the Authority.
Duties and functions. The Independent Engineer shall discharge its duties and functions substantially in accordance with the terms of reference set forth in Schedule N.
Duties and functions. 25.2.1 The Clinical Panel shall discharge its duties and functions substantially in accordance with Clause 22.3 and as provided elsewhere in this Agreement.
