DUTIES AND INVOLVEMENT a. The Company hereby engages Consultant, as an independent contractor and not as an employee, to provide advice to and consult with the Company's management concerning the matters set out above. b. Consultant acknowledges that he is not an officer, director, or agent of the Company, that he is not and will not be responsible for any management decisions on behalf of the Company and that he may not commit the Company to any action. Any and all arrangements or agreements that Consultant may negotiate for the Company will be subject to acceptance by the Company, to be evidenced by execution by an authorized officer, or the Company. Consultant represents that he does not have, through stock ownership or otherwise, the power to control the Company nor to exercise any dominating influence over its management. c. The Consultant shall devote such of his time and effort to the duties hereunder and shall use his best efforts to fulfill obligations hereunder; however, the Company acknowledges that the Consultant is engaged in other business activities and that such activities will continue during the term of this Agreement.

DUTIES AND INVOLVEMENT. The Company hereby engages Consultant to provide one or more plans, and for coordination in executing the agreed-upon plan, for using various investor and public relations services as agreed by both parties. The plan may include, but not by way of limitation, the following services: consulting with the Company's management concerning marketing surveys, investor accreditation, availability to expand investor base, investor support, strategic business planning, broker relations, conducting due diligence meetings, attendance at conventions and trade shows, assistance in the preparation and dissemination of press releases and stockholder communications, consulting of mergers with companies, review and assistance in updating a business plan, review and advise on the capital structure for the Company, propose legal counsel, assist in the development of an acquisition profile and structure, recommend financing alternatives and sources, and consult on corporate finance and/or investment banking issues. In addition, these services may include production of a corporate profile and fact sheets, personal consultant services, financial analyst and newsletter campaigns, conferences, seminars and national tour, including, but not by way of limitation, due diligence meetings, investor conferences and institutional conferences, printed media advertising design, newsletter production, broker solicitation campaigns, electronic public relations campaigns, direct mail campaigns, placement in investment publications and press releases. This agreement is limited to the United States. A further description of the services which may be included in the plan as described above is attached hereto as Exhibit A and included herein as if fully set out.
DUTIES AND INVOLVEMENT a. Such services will generally include assistance in promotion of the Company's name to the public for greater public awareness and promotion of the Company in the investment community (such as introductions of the Company to firms such as UBS, Bear Stearns, Merrill Lynch, and Lexxxx Xxxx.). Xxxxxxxxnt wilx xxxx use of its business network for these purposes and will also provide promotion of the Products on radio and television. Consultant will also assist in introductions to distribution channels and assist in establishing the Products in residential and corporate environments and provide assistance in setting up meetings with appropriate parties in various pharmaceutical and other companies for possible advertising on the Company's water coolers. In addition, as requested, Consultant will provide advice to and consulting with the Company's management concerning the design, structure and manner of presentation of the Company's Products, and as appropriate, and as requested, to provide assistance in the negotiation of contracts with the Company's customers. Consultant shall also assist the Company in positioning the Company for possible future financings with companies such as General Electric and others. b. Consultant acknowledges that neither it nor any of its employees will make use of Company proprietary data for personal use or gain, and will not disclose to any third party any confidential information or materials which it receives as a result of providing services hereunder. c. Consultant shall confer with and report directly to the CEO unless otherwise directed.

After agreeing upon such plan, Company desires to have STC undertake to pay its monetary obligations to the Consultant and costs of the financial and public relations services contemplated by such a plan. STC in return for the compensation hereinafter described has agreed to undertake to pay the Company's obligations to the Consultant and the investor and public relations firms agreed upon by the parties.

DUTIES AND INVOLVEMENT. The Company hereby engages Consultant, and Consultant agrees, to provide the Services to the Company which may include various investor services. Upon request of the Company, the Services may include the following: consulting with the Company's management concerning assessment of current investor relations programs of the Company, efforts to expand investor base, include production of a Corporate Profile, Quick Facts and Conference Calls between financial professionals and the company’s appointed executive to speak with such professionals. AMP will reach out to approximately 3000 contacts each month and provide a monthly activity and broker report with all interested parties to the company with relevant contact information. The Services will be performed and directed at a U.S. audience. AMP may include the following additional services: marketing surveys, confirmation of investor accreditation, professional financial investor support, strategic assistance to the company’s business planning, broker relations, conducting due diligence meetings, attendance at conventions and trade shows, stockholder communications, review and assistance in updating a business plan, review and consulting advice on the capital structure for the Company, and consulting on corporate finance and/or investment banking issues, financial analyst and newsletter campaigns, conferences, seminars and national and international tours, including, but not by way of limitation, due diligence meetings, investor conferences and institutional conferences, printed media advertising design, television advertisements/commercials, newsletter production, broker solicitation campaigns, electronic public relations campaigns, direct mail campaigns, placement in investment publications and obtaining third party research coverage. These service typical have additional third party fee’s, cost and service contacts associated with all of them and would be subject to additional funding by the company at no cost to AMP. Typical referred to as Third Party assistances. RELATIONSHIP AMONG THE PARTIES. Consultant and Company acknowledge and agree that in providing the Services the Consultant will be acting as an independent contractor. The Consultant and its employees and agents are not officers, directors or agents of the Company, and will not be responsible for any management decisions on behalf of the Company, and may not commit the Company to any action. After agreeing upon the Plan, the Company desires to have STL undertake to pay its monetary obligations to fund the costs of coordinating the financial and public relations services contemplated by the Plan. STL in return for the compensation hereinafter described has agreed to undertake to pay the Company’s obligations with respect to coordinating the Plan.
