Duties of Agency. Agency shall perform those duties reasonably required by the COMPANY to implement marketing programs and satisfy the COMPANY's obligations under agreements between the COMPANY and insurance companies offering policies issued pursuant to this Agreement and the Proposals. Without limitation, Agency agrees to report immediately to the COMPANY, with full details, any fact, occurrence or incident that may result in a loss or claim. Agency shall forward all documents and cooperate fully with the COMPANY in the investigation and adjustment of any claim, if requested. Agency agrees to keep complete records and accounts of all transactions, and to permit the COMPANY to inspect all records pertaining to business transacted under this Agreement. It is the responsibility of Agency to service each account and inform The COMPANY as to the type and amount of coverage. The COMPANY assumes no responsibility to Agency, the insured, or any other party with regard to the adequacy, amount or form of coverage obtained through any insurance carrier. Agency agrees that it is Agency's sole responsibility to notify the insured of policy expiration and to send all required notices of non renewal.

Duties of Agency. (a) The Agency will provide the service provider(s) with adequate work areas and equipment, as deemed necessary by the Agency, for the service provider(s) to perform her/his job.

C. Unless technologically precluded due to radio incompatibility, upon written request from a law enforcement agency head in the same county or in an adjacent jurisdiction in another county must authorize the requesting agency to install the responding agency’s primary dispatch channel or channels in the requesting agency’s PSAP, dispatch center, or mobile or portable radios.
Duties of Agency. In order to fulfill its obligations under this agreement, the Agency shall perform the following specific duties:
A. Develop and/or modify an IEP for each student in consultation with District representatives and hold IEP meetings only when District and Agency representatives and parents of the student can be present. Draft recommendation for the IEP will be delivered to the District 30 days prior to the IEP meeting, or on a different schedule if agreed to by both the District and the Agency.
B. Provide a program curriculum design and appropriate resources for each contracted student to meet IEP goals, specifying evaluation criteria schedule procedures, to the satisfaction of the District with documentation for specific learning activities and specific student access.
C. Describe and provide student learning activities including the steps leading to those activities and assessment of progress toward IEP goals.
D. Describe and provide the supervision and support students shall receive under the direction of certificated staff members for each learning activity and forms used to record data gathered during the monitoring of student performance.
E. Describe and provide evaluation of all learning activities. Design, develop, maintain, and produce, at a minimum, quarterly reports of student progress. Design, develop and maintain program master records for each student and provide records for each student.
F. Develop and operate a descriptive record-keeping system to monitor attendance, specify behavior standards and describe methods with which behavior problems will be dealt, including any aversive therapy methodology, which, if implemented, must be noted on the IEP.
G. Notify the District of the possible need for screening and evaluation of students who may need a revised IEP, or additional services.
H. Provide a facility that meets the minimum state and local requirements for health and fire safety and which is acceptable to the District. Operate a program to ensure the health and safety of each student. Fire and life safety and health/safety inspections must be current with all noted findings corrected.
I. Students engaged in Work Study or Community Services programs, which are supervised by Agency shall meet the criteria established by District in order to receive school credit.
J. If student attendance is ten (10) days or less per month, notify District and offer plan for improved attendance.

Duties of Agency. A.1 Use best efforts to identify Locum Tenens PROVIDERS acceptable to CLIENT;
A.2 Screen and obtain references for all Locum Tenens PROVIDERS including verification of licensure;
A.3 Arrange a complete travel and accommodation itinerary in conjunction with CLIENT;
A.4 Arrange malpractice insurance coverage through AGENCY'S insurance carrier for Locum Tenens PROVIDERS;
A.5 Pay PROVIDERS on behalf of CLIENT for services rendered by PROVIDERS and at rates agreed to by CLIENT and PROVIDER facilitated by AGENCY.
Duties of Agency. The Agency shall exercise reasonable care in using the County’s fueling equipment and entering County property to obtain fuel. The Agency shall reimburse the County for all loss or damage to fueling equipment, including but not limited to fuel access devises, caused by Agency or its personnel. The Agency agrees to pay any costs incurred by the County for the cleanup and disposal of hazardous waste that may result from negligent operation of equipment by Agency employees. The Agency must immediately report to County any system malfunctions or fuel spills as the fuel site.
Duties of Agency. (a) Agency shall not place any advertising without first obtaining the approval of American Express nor shall it incur any expenditure for which American Express shall be billed, without first obtaining the approval of American Express for the estimated cost thereof. Agency shall make no agreements, commitments or disbursements nor incur any obligations in an amount greater than or equal to $3,000.00 on behalf of American Express or for American Express' account without American Express' prior written approval. American Express' verbal approval is required for amounts less than $3,000.00.
(b) Agency has not accepted and shall not hereafter during the term of this Agreement and for ninety (90) days thereafter accept appointment as an advertising agency for any products or services competing with American Express' products or services without full discussion and disclosure to American Express and American Express' prior written approval. Products or services which compete with American Express' products or services include, without limitation, credit, debit, charge or stored value cards, calling card with linkage to credit or financial services, travelers cheques and travel agency services.
(c) Agency will take all reasonable precautions to safeguard any and all of American Express' property entrusted to Agency's custody or control.
(d) Agency will take all reasonable precautions to safeguard any and all wardrobe and prop items owned by or rented by or on behalf of American Express and entrusted to Agency's custody or control.
(e) Agency will take all reasonable precautions to guard against any loss to American Express which arises out of Agency's engagement of third parties for the execution of American Express assignments and the failure of such third parties to properly execute such assignment.
(f) Agency will obtain all necessary releases, licenses, permits and other authorization to use names, likeness, photographs, music, artwork, film, copyrighted materials or any other property or rights belonging to third parties or employees and independent contractors of Agency for use in advertising for American Express, and shall indemnify and hold American Express harmless from and against any loss, damage, liability, claim, demand, suit or expense (including reasonable attorneys' fees) which may be incurred by American Express as the result of any claim, suit or proceeding made or brought against American Express based upon claims arising out of or in connecti...
Duties of Agency. A. Develop Program Work Plan
1) Develop, in collaboration with the Port, a detailed program work plan to include, but not be limited to, a description of the following tasks for the CMAQ/Ecology grant program:
a. Open and operate a truck outreach center for potential applicants at or near a Port-owned marine terminal, to be in place by May 27, 2014, and to operate through December 31, 2015. If funds available from all grant programs are exhausted prior to December 31, 2015, the Port and the Agency will end the ScRAPS 2 Program earlier by mutual agreement. The Agency will operate the outreach center consistent with the work plan.
b. Process applications from truck owners for financial assistance per Port- provided guidelines.
c. Assess suitability of trucks that are proposed to be scrapped or retrofitted, to verify program eligibility.
d. Assess suitability of proposed replacement trucks to verify program eligibility.
e. Coordinate scrapping and associated documentation for trucks being scrapped and replaced.
f. Process ScRAPS 2 scrapping/upgrading incentive payouts.
g. Track emission reductions associated with each truck replacement/upgrade.
h. Maintain up-to-date records and report on the above actions. Deliverable date for initial work plan: January 31, 2014.
2) Update the work plan to incorporate the XXXX xxxxx program. These updates will include but not be limited to, a description of the following tasks:
a. Operate the XXXX xxxxx program concurrently with the CMAQ/Ecology grant programs as one unified ScRAPS 2 program. Provide details on the unique requirements of both the XXXX xxxxx program and the CMAQ/Ecology grant program and how these programs will be administered concurrently.
b. Describe how the agency will track the XXXX xxxxx program vouchers and the corresponding administrative costs and truck scrap income separately from the CMAQ/Ecology grant program vouchers and corresponding administrative costs and truck scrap income. Deliverable date for initial work plan update: October 3, 2014.
3) Update the work plan to incorporate the CMAQ Supplemental grant program. These updates will include but not be limited to, a description of the following tasks:
