Duties; Reporting. (a) During the Services Term, except as is otherwise expressly set forth herein. Employee shall devote his full business time and attention to Employer and the diligent performance of his duties hereunder. Employee shall run the day-to-day operations of Employer in all material respects within the parameters of the then operative Business Plan and Budget of Employer and shall personally supervise the day-to-day operations of Employer in the Business.
(b) Employee shall report directly to both the Board of Employer and to the Chairman of Sundance. and if the Chairman of Sundance is unavailable. to the Board of Sundance. Employee hereby accepts such employment and agrees to perform his services hereunder faithfully, diligently and to the best of his ability. Employee shall observe al l reasonable rules and regulations adopted by Employer in connection with the operation of its business, including. but not limited to, with respect to confidential information, and cmTy out to the best of Employee’s ability all lawful instructions of Employer.
(c) As long as such activities do not materially interfere with Employee’s services to Employer hereunder, Employee may serve on boards of directors of other entities not related to the oil and gas and related businesses (collectively, the “Excluded Businesses”) or on boards of chmitable or similar organizations.
(d) For the purposes of this Agreement Employee acknowledge s that any reference to the interest, operations, reasonable rules and regulations and lawful directions of Employer will be taken to include the interest, operations, reasonable rules and regulations and lawful directions of Sundance, and Employee will have the same regard to the interests of Sundance as to the interests of Employer.
Duties; Reporting. Employee shall report to the Chief Executive Officer and the Board of Directors of the Company. Employee shall undertake and render all such duties and services consistent with Employee’s title as may from time to time be reasonably assigned to him by the Chief Executive Officer and/or Board of Directors, which shall include the duties and responsibilities listed in Schedule A hereto. Employee will devote his full business time and best efforts to the performance of his duties to the Company and will not engage in any other business, profession or occupation for compensation or otherwise that would conflict with or interfere with the rendition of such services directly or indirectly; provided that Employee shall not be precluded from accepting or continuing appointment to any corporate board of directors or board of directors or trustees of any charitable or civic organizations, subject, in each case, to the Company’s Corporate Governance Guidelines; provided in each case, and in the aggregate, that such activities do not conflict or interfere with the performance of his duties to the Company. Employee will (1) perform no Company related services outside the Company except by written consent of the Board of Directors, and (2) once a year disclose all outside activities at the Fiscal Year end Board of Director’s Meeting.
Duties; Reporting. (a) During the term hereof, Employee shall have such authority, and shall carry out all responsibilities and duties, as may be reasonably assigned to Employee by the Company’s Board of Managers.
(b) Employee shall perform faithfully the executive duties assigned to him to the best of his ability in a diligent, trustworthy, businesslike and efficient manner and will devote his full business time and attention to the business and affairs assigned to him hereunder; provided, however, that Employee may serve as a director of or a consultant to other corporations which do not compete with the Company or its subsidiaries or affiliates, nonprofit corporations, civic organizations, professional groups and similar entities.
(c) During the term hereof, Employee shall report to the Chief Executive Officer of the Company, or his or her designee.
Duties; Reporting. The Executive shall report to and be subject to the general direction of the Board. The Executive shall perform all duties in accordance with the articles and by-laws of the Corporation, the instructions of the Board, and all of the Corporation’s policies and codes of conduct, rules and regulations in effect from time to time. In addition to the duties and responsibilities associated with his position, the Executive shall perform such other duties and responsibilities consistent with the position as may be assigned to him by the Board from time to time. The Board retains full authority to change the Executive’s duties and responsibilities and to assign new duties and responsibilities to the Executive, provided that such changes are consistent with the Executive’s position as President and Chief Executive Officer and do not result in a material diminution of the scope or dignity of, nor in a material adverse change to, the Executive’s overall duties and responsibilities or status.
Duties; Reporting. The Executive shall report to and be subject to the direction of the Company’s Chief Executive Officer (“CEO”), or such other person as the Board of Directors of the Company (the “Board”) or Company may subsequently designate, at any time, in the Board’s sole discretion. The Executive shall have duties and responsibilities consistent with the Executive’s position as may be assigned to the Executive from time to time. The Executive shall perform all duties in accordance with the instructions of the CEO or such other person as the Company may designate, and all of the Company’s policies and codes of conduct, rules and regulations in effect from time to time, which the Company may amend without advance notice to the Executive. The Executive shall also comply with all applicable laws in the performance of the Executive’s duties.
Duties; Reporting. (a) During the term hereof, Employee shall have the normal responsibilities, duties and authorities of President and Chief Executive Officer of the Company described in its bylaws and such other reasonable duties as may be assigned to him by the Board of Directors of the Company (the “Board”) from time to time.
(b) Employee shall perform faithfully the executive duties assigned to him to the best of his ability in a diligent, trustworthy, businesslike and efficient manner and will devote his full business time and attention to the business and affairs assigned to him hereunder; provided, however, that Employee may serve as a director of or a consultant to other corporations which do not compete with the Company or its subsidiaries or affiliates, nonprofit corporations, civic organizations, professional groups and similar entities.
(c) During the term hereof, Employee shall report to the Board.
Duties; Reporting. You shall report directly to the Company’s Chief Executive Officer (“CEO”). You shall be a member of the Company’s senior management team and shall have such duties and responsibilities as shall be consistent with your position. You will also devote your full time, efforts, abilities, and energies, except for as permitted in Section 1(b) below and except for approved vacation periods and reasonable periods of illness or other incapacities permitted by the Company’s general employment policies, to promote the general welfare and interests of the Company and any related enterprises of the Company. You will loyally, conscientiously, and professionally do and perform all duties and responsibilities of your position, as well as any other duties and responsibilities as will be reasonably assigned to you by the Company and modified as the Company deems necessary and appropriate in light of the Company’s needs and interests from time to time, consistent with your position and this Agreement. You will strictly adhere to and obey all Company rules, policies, procedures, regulations and guidelines including, but not limited to, those contained in the Company’s employee handbook, as well as any others that the Company may establish. You will strictly adhere to all applicable state and/or federal laws and/or regulations relating to your employment with the Company.
Duties; Reporting. (a) During the Services Term, except as is otherwise expressly set forth herein, Employee shall devote his full business time and attention to Employer and Sundance, and the diligent performance of his duties hereunder. Employee, in his role as Chief Executive Officer, shall run the day-to-day operations of Employer and Sundance in all material respects within the parameters of the then operative business plan of Employer and Sundance, and shall personally supervise the day-to-day operations of Employer and Sundance relating to the acquisition, exploration and development of oil and gas assets in the Market Area (as defined in paragraph 6(f)) (the “Business”).
(b) Employee shall report directly to the Board of Directors of Sundance (the “Board”). Employee hereby accepts such employment and agrees to perform his services hereunder faithfully, diligently and to the best of his ability. Employee shall observe all reasonable rules and regulations adopted by Employer and Sundance in connection with the operation of the Business, including, but not limited to, with respect to confidential information, and carry out to the best of Employee’s ability all lawful instructions of Employer and Sundance.
(c) As long as such activities do not materially interfere with Employee’s services to Employer or Sundance hereunder, or compete with the Business, Employee may serve on boards of directors of other entities or on boards of charitable or similar organizations.
Duties; Reporting. The Employee shall report to and be subject to the general direction of Xxxx XxXxxxxx, CEO (RM), performing such duties and responsibilities consistent with her position as may be assigned to him. The Employee shall perform all duties in accordance with the instructions of the RM or as otherwise may be designated by the RM, and all of the Employer’s policies and codes of conduct, rules and regulations in effect from time to time. The Employer retains full authority to change the Employee’s duties and responsibilities and reporting relationships and to assign new duties and responsibilities provided that such changes do not result in a material diminution of the scope or dignity of the Employee’s overall duties and responsibilities.
Duties; Reporting. Executive shall devote his full business-related time and best efforts to accomplishing such executive duties as may be requested by the CEO of the Company, acting under authorization from the Board. Executive shall report to the Company’s CEO, and will be a member of the Company’s senior management team.
