Duty to Comply. The Association recognizes the duty and obligation of its representatives to comply with the provisions of this Agreement and to make every effort toward inducing all employees to do so. In the event of a strike, work stoppage, slow-down, or other interference with the operations of the District by employees who are represented by the Association, the Association agrees in good faith to take all necessary steps to cause those employees to cease such action.
Duty to Comply. (a) The Indemnified Party shall comply with the Act, the regulations made in the Act, the articles of the Corporation, the by-laws of the Corporation and any unanimous shareholder agreement or partnership agreement respecting the Corporation.
(b) Each Corporation acknowledges that the Indemnified Party has complied with his or her duties under subsection 2(a) hereof, if the Indemnified Party exercised the care, diligence and skill that a reasonably prudent person would have exercised in comparable circumstances, including reliance in good faith on:
(i) financial statements of the Corporation represented to the Indemnified Party by an officer of the Corporation or in a written report of the auditor of the Corporation fairly to reflect the financial condition of the Corporation; or
(ii) a report of a person whose profession lends credibility to a statement made by the professional person.
Duty to Comply. (i) Subject to Section 7.3(a) (Safety Compliance Orders), the Development Entity shall implement all Safety Compliance as expeditiously as reasonably possible following issuance of the Safety Compliance Order. The Development Entity shall diligently perform the work necessary to achieve such Safety Compliance until completion.
(ii) The Development Entity shall perform all work required to implement Safety Compliance.
(iii) The Development Entity shall undertake Reasonable Efforts to overcome any inability to comply with any Safety Compliance Order caused by a Relief Event.
Duty to Comply. 2.1 Subject to Section 7.3.1 (Safety Compliance Orders), Developer shall implement all Safety Compliance as expeditiously as reasonably possible following issuance of the Safety Compliance Order. Developer shall diligently perform the work necessary to achieve such Safety Compliance until completion.
Duty to Comply. 8.3.2.1 Subject to Section 8.3.1, Developer shall implement all Safety Compliance as expeditiously as reasonably possible following issuance of the Safety Compliance Order. Developer shall diligently prosecute the work necessary to achieve such Safety Compliance until completion.
8.3.2.2 Developer shall be entitled to submit a Claim for Extra Work Costs, Delay Costs or time extensions relating to compliance with a Safety Compliance Order as provided in Article 9. Notwithstanding the provisions in this Section 8.3.2.2, Developer shall not be entitled to any compensation, extension of time or other claim against the Department to the extent that the Safety Compliance Order is the result of the negligence, willful misconduct, or breach of applicable Law or contract by Developer or any Developer-Related Entity.
Duty to Comply. 18.1.1 The Association and the District recognize the duty and obligation of their representatives to comply with the provisions of this Agreement, and to make every effort toward inducing all to do so.
18.1.2 It is agreed and understood that there will be no lockout, strike, work stoppage, slow- down or refusal or failure to fully and faithfully perform job functions and responsibilities, or other interference with the operations of the District during the term of this Agreement, including compliance with the request of other labor organizations to engage in such activity.
Duty to Comply. Supplier agrees to comply with all federal, state, local and foreign laws, rules, and regulations applicable to its performance of this Agreement or to OEM Products. Without limiting the generality of the foregoing sentence, Supplier represents that:
(1) Supplier will comply with all applicable equal employment opportunity and non- discrimination requirements prescribed by Presidential Executive Orders, including the requirements of Executive Order 11246, the Vocational Rehabilitation Act, and the Vietnam Era Veterans’ Readjustment Assistance Act;
(2) Each chemical substance contained in OEM Products is on the inventory of chemical substances compiled and published by the Environmental Protection Agency pursuant to the Toxic Substances Control Act;
(3) All OEM Products will be shipped in conformance with government or freight regulations and requirements applicable to chemicals; and
(4) Supplier will provide complete and accurate material safety data sheets prior to shipping any OEM Product.
Duty to Comply. All reasonable safety rules and practices governing health, safety appliances and devices shall be complied with by the city and employees.
Duty to Comply. The permittee must comply with all conditions of this permit. Any permit noncompliance constitutes a violation of the Act and is grounds for enforcement action; for permit termination, revocation, and reissuance; for denial of a permit renewal application; and/or for requiring a permittee to apply for and obtain an individual NPDES permit. It is expected that the EMS and independent 3rd party audits will identify minor noncompliance issues for prompt correction.
Duty to Comply. You agree to comply with all of the terms and conditions set out herein whenever you order or access Consumer Credit Products (“CCP”). You acknowledge that your failure or the failure of any Authorized User of your CIN Account to comply with these Terms and Conditions for Consumer Credit Products may lead to the immediate termination of your CIN LEGAL Standard Agreement for Service pursuant to Section 5.1 thereof, and the imposition of other legal or contractual penalties.
