Economic Risk. The Purchaser realizes that the purchase of the ------------- Stock will be a highly speculative investment and involves a high degree of risk, and the Purchaser is able, without impairing financial condition, to hold the Stock for an indefinite period of time and to suffer a complete loss on the Purchaser's investment.
Economic Risk. Because the Purchased Shares have not been registered under the Securities Act, or certain applicable state securities laws, the economic risk of the investment must be borne by the Purchaser and the Purchased Shares cannot be sold unless subsequently registered under the Securities Act and such state securities laws, or unless an exemption from such registration is available. In the case of any transfer of any Purchased Shares other than pursuant to a registration statement, the Purchaser agrees to furnish an opinion of counsel customary for opinions of such kind to the Company to the effect that a proposed transfer complies with applicable federal and state laws.
Economic Risk. Such Member is able to bear the economic risk of such Member’s investment in such Member’s Interest.
Economic Risk. SOPHISTICATION. Shareholders are able to bear the economic risk of an investment in Pentegra Common Stock acquired pursuant to this Agreement and can afford to sustain a total loss of such investment and have such knowledge and experience in financial and business matters that they are capable of evaluating the merits and risks of the proposed investment and therefore have the capacity to protect their own interests in connection with the acquisition of the Pentegra Common Stock. Shareholders and their representatives have had an adequate opportunity to ask questions and receive answers from the officers of Pentegra concerning any and all matters relating to the background and experience of the officers and directors of Pentegra, the plans for the operations of the business of Pentegra, and any plans for additional acquisitions and the like. Shareholders and their representatives have asked any and all questions in the nature described in the preceding sentence and all questions have been answered to their satisfaction. Shareholders are "accredited investors" as defined in Regulation D of the Securities Act of 1933, as amended.
Economic Risk. Holder realizes that the purchase of the Warrants and the Shares will be a highly speculative investment and involves a high degree of risk. Holder is able, without impairing Purchaser's financial condition, to hold the Warrants and/or the Shares for an indefinite period of time and to suffer a complete loss of Holder's investment.
Economic Risk. The Member is financially able to bear the economic risk of an investment in its Membership Interest, including the total loss thereof.
Economic Risk. BUYER realizes that the purchase of the Warrants and the Shares will be a highly speculative investment and involves a high degree of risk. BUYER is able, without impairing its financial condition, to hold the Warrants and/or the Shares for an indefinite period of time and to suffer a complete loss of its investment.
Economic Risk. Purchaser acknowledges that it must bear the economic risk of its investment in the Shares for an indefinite period of time since the Shares have not been registered under the Act and therefore cannot be sold unless the Shares are subsequently registered or an exemption from registration is available.
Economic Risk. The Subscriber has such knowledge and experience in financial and business affairs as to be capable of evaluating the merits and risks of the Subscriber’s investment in and to any of the Securities, and the Subscriber is able to bear the economic risk of a total loss of the Subscriber’s investment in and to any of the Securities. The Subscriber understands that an investment in any of the Securities is a speculative investment and that there is no guarantee of success of the plans of the Company’s management. Such plans are an effort to apply present knowledge and experience to project a future course of action which is hoped will result in financial success employing the Company’s assets and with the present level of management’s skills and of those whom the Company will need to attract (which cannot be assured). Additionally, all plans are capable of being frustrated by new or unrecognized or unappreciated present or future circumstances which can typically not be predicted, accurately or at all.
Economic Risk. Such Member is financially able to bear the economic risk of his or its investment in the Company, including the total loss thereof.
