Effect of Certificates. Any certificate signed by any officer of the Company and delivered to you or to counsel for the Underwriters shall be deemed a representation and warranty by the Company to each Underwriter as to the matters covered thereby.

Effect of Certificates. Neither the issuance of any certificate as to any Application for Payment, achievement of Material Completion or Final Completion, or certification of any payment by the Design Professional, nor any other provision in the Contract Documents, shall relieve the CM/GC of the responsibility for faulty materials or faulty workmanship.

Subject to clause 36.3., the issue of the Final Certificate shall indicate that the Contractor has successfully completed the Contract save where the Final Certificate is erroneous by reason of: fraud, dishonesty or deliberate concealment on the part of the Contractor or any of his sub-contractors or any of the employees or agents of the Contractor relating to the Works or part thereof or to any matter dealt with in the Final Certificate; or any defect, including any omission, in the Works or any part thereof which reasonable inspection at the time of issue of the Final Certificate would not have disclosed; or any accidental or erroneous inclusion or exclusion of any work, materials, goods or figures in any computation, or any arithmetical error in any computation. The issue of the Final Certificate does not limit any of the Contractor’s obligations under the warranty in clause 34..

Effect of Certificates. A certificate: (1) by an Authorised Officer stating the amount outstanding as at the date set out in the certificate, the measure of the Recoverable Amount, the date of delivery of the Goods to you or that an Event of Default has occurred is sufficient evidence of the facts set out in the certificate unless the contrary is shown. (2) by an Authorised Officer stating that, as at the date set out in the certificate, there has been a total or substantial loss or destruction of the Goods is sufficient evidence of the fact unless the contrary is shown.
Effect of Certificates. No certificate shall of itself be conclusive evidence that any design, works, materials or goods to which it relates are in accordance with this Agreement and, without prejudice to the generality of the foregoing, the issue of an Interim Certificate or of the Payment Certificate shall not prejudice any right of the Authority against hubco in respect of any defect in the Works (including the Authority's rights under Clause 17 (Defects)).
