Effect of Execution Clause Samples
Effect of Execution. Notwithstanding any provision of this Agreement, should any Subscription Receipt Certificates be issued and certified in accordance with the terms hereof prior to the actual time of execution of this Agreement by the Corporation and the Subscription Receipt Agent, any such Subscription Receipt Certificates shall be void and of no value and effect until such actual execution.
Effect of Execution. This Lease binds each person who executes it notwithstanding the failure by any other person to execute this Lease.
Effect of Execution. This Warrant and the terms and conditions set forth herein hereby amend and restate the terms and conditions of that certain warrant arising under that certain Securities Purchase Agreement – Standard Terms incorporated into the Letter Agreement, dated as of December 5, 2008, as amended from time to time, between the Company and the Original Warrantholder (the “Original Warrant”), and the Original Warrant shall have no further force or effect as of and following the Issue Date.
Effect of Execution. The submission of this Sublease for examination shall not effect any obligation on the part of the submitting or examining party and this Sublease shall become effective only upon the complete execution thereof by both Sublessor and Sublessee.
Effect of Execution. Execution of this Settlement Agreement by all institutional entities signifies that all provisions of this Settlement Agreement have been approved by those entities’ respective governing bodies and that those entities bind themselves to the obligations and benefits of this Settlement Agreement.
Effect of Execution. This agreement is not binding on any party unless it or a counterpart has been duly executed by, or on behalf of, each person named as a party to the agreement
Effect of Execution. This Deed:
(a) is binding on the Grantor even if it is not executed by the Secured Party; and
(b) is a deed, and factors which might suggest otherwise are to be disregarded.
Effect of Execution. Until executed by all parties, this is a draft and is neither an agreement between the parties nor an embodiment of any prior oral agreement. When and if this document is fully executed, it shall become the agreement of the parties hereto.
Effect of Execution. No Certificate shall be valid or obligatory for any purpose or entitled to any security or benefit hereunder unless and until executed in the manner prescribed by Section 2.6 hereof, and such execution of any Certificate shall be conclusive evidence that such Certificate has been properly executed and delivered hereunder.
