Effect on License Agreement. Except as expressly modified by the terms of this Agreement, the License Agreement shall remain unchanged and in full force and effect. The License Agreement, as amended by this Agreement, is hereby ratified and affirmed.
Effect on License Agreement. To the extent there is an inconsistency --------------------------- or conflict between the terms of this Article 4 and the provisions set forth in the body of the MUZAK(R) License Agreement to which this Exhibit G is attached, the provisions of this Article 4 shall control. Without limiting the generality of the foregoing, this Exhibit G shall control over Section 2.2(b) (i) of said License Agreement.
Effect on License Agreement. Upon termination of this Agreement, notwithstanding any other provision hereof, the amendments to Sections 2.2(i) (subject to the last phrase of the first sentence of Section 2.1(b) hereof), 4.1(ii), 4.1(iii), 6.1, 6.2, and 6.3 of the License Agreement as set forth herein shall be of no further force or effect.
Effect on License Agreement. If Company meets its obligations under Sections 2A and 2B of this Agreement and the representations and warranties made by Company in Section 4 of this Agreement are then true, then, upon WiCell's receipt of a stock certificate representing all of the Shares to be issued to WiCell under Section 2A(i) (as adjusted), Company (as Licensee under the License Agreement) shall be deemed to have met the initial license fee obligation under the License Agreement.
Effect on License Agreement. The License Agreement shall continue in full force and effect as amended by this Amendment No. 3 and all prior amendments not heretofore superceded. From and after the date hereof, all references to the License Agreement shall be deemed to mean the License Agreement as amended by this Amendment No. 3 and all prior amendments not heretofore superceded.
Effect on License Agreement. Except to the extent specified in the second sentence of this Section 4.4, the provisions of this Agreement, including without limitation the provisions of Exhibit A and Exhibit B attached hereto, expressly amend Article I and Sections 1.2, 2.1, 2.3, 2.4, 3.4, 4.1(iii), 4.1(iv), 4.1(v), 4.1(vi), 4.4, 6.1, 6.2 and 6.3 of the License Agreement, and such amendments shall survive any termination of this Agreement, and the parties hereby ratify the terms of the License Agreement as amended by this Agreement. Upon termination of this Agreement, notwithstanding any other provision hereof, the License Agreement shall continue in accordance with the terms in effect as amended by this Agreement, except that (a) the amendments in this Agreement to Sections 4.1(iii) through 4.1(vi) of the License Agreement, and (b) the amendment to the License Agreement that is in Section 6 of Exhibit B to this Agreement, shall each be of no further force or effect from and after the effective date of termination.
Effect on License Agreement. The parties agree that, other than as provided in this Amendment, all terms and provisions of the License Agreement, as amended, are hereby ratified and confirmed and remain in full force and effect. * * * EXHIBIT (H)(11)
Effect on License Agreement. If TomoTherapy meets its obligations under Sections 2A and 2B of this Agreement and the representations and warranties made by TomoTherapy in Section 6 of this Agreement are then true, then, upon WXXX’x receipt of a stock certificate representing all of the Shares to be issued to WXXX under Section 2A(i) (as adjusted), WXXX shall waive the payment in cash of the initial license fee specified in Section 3B and patent reimbursement specified in Section 3C of the License Agreement.
Effect on License Agreement. Notwithstanding anything else contained in this Agreement, nothing herein shall modify, amend or alter, in any way, the License Agreement (as hereinafter defined). In the event of any conflict or discrepancy between this Agreement and the License Agreement, the License Agreement shall control. All actions taken with respect to, and performance under, this Agreement shall be taken or performed in compliance with, and not in contravention of, the License Agreement.
Effect on License Agreement. It is the express intention and --------------------------- agreement of MSD and IGEN that all provisions of the License Agreement, as amended by this Amendment No. 1, shall survive and remain in full force and effect following the execution and delivery of this Amendment No. 1, and the provisions of this Amendment No. 1 shall be considered part of, and governed by, the terms of the License Agreement (as so modified). Any reference to the License Agreement after the date of this Amendment No. 1 shall be deemed to be a reference to the License Agreement, as amended by this Amendment No. 1.
