Common use of Effect Upon Termination Clause in Contracts

Effect Upon Termination. Upon the Termination Date, this Agreement shall terminate and shall be of no further force and effect; provided, however: (a) Apple shall use its best efforts to cooperate with the Orthodontic Entity and Orthodontist for the appropriate transfer of management services. (b) Each party hereto shall provide the other party with reasonable access to books and records owned by it to permit such requesting party to satisfy reporting and contractual obligations which may be required of it. (c) On the Termination Date, any amounts due and owing but unpaid to either Apple or the Orthodontic Entity (including, without limitation, any amounts due under the Initial Working Capital Line) as of the Termination Date shall be paid promptly by the appropriate party. (d) Any and all covenants and obligations of either party hereto which by their terms or by reasonable implication are to be performed, in whole or in part, after the termination of this Agreement, shall survive such termination, including, without limitation, the obligations of the parties pursuant to the following Sections: 4.5, 4.7, 5.1, 5.2, 5.4, 5.5, 5.6, 5.7, 5.8, 6.4, 7.2, 8.5, 9.8, 9.10 and the applicable provisions of ARTICLE X .
