Effectiveness; Integration. This Agreement shall become effective on the date (the "EFFECTIVE DATE") on which the Borrower and each of the Lenders shall have signed a copy hereof (whether the same or different copies) and shall have delivered the same to the Administrative Agent at the Notice Office of the Administrative Agent or, in the case of the Lenders, shall have given to the Administrative Agent telephonic (confirmed in writing), written telex or facsimile transmission notice (actually received) at such office that the same has been signed and mailed to it. This Agreement, the other Credit Documents and any separate letter agreements with respect to fees payable to the Administrative Agent, for its own account and benefit and/or for the account, benefit of, and distribution to, the Lenders, constitute the entire contract among the parties relating to the subject matter hereof and thereof and supersede any and all previous agreements and understandings, oral or written, relating to the subject matter hereof or thereof.
Effectiveness; Integration. Except as provided in Section 3.01, this Agreement shall become effective upon the execution of a counterpart hereof by each of the parties hereto and receipt by Borrower Representative and Administrative Agent of the counterparts hereof that, when taken together, bear the signatures of each of the other parties hereto. The provisions of this Agreement and the other Credit Documents set forth the entire agreement and understanding between the parties as to the subject matter hereof and thereof and supersede all prior and contemporaneous agreements, oral or written, and all other communications between the parties relating to the subject matter hereof and thereof. Delivery of an executed counterpart of a signature page of this Agreement by telecopy or .pdf (or similar file) by electronic mail shall be effective as delivery of a manually executed counterpart of this Agreement.
Effectiveness; Integration. This Agreement and the other Credit Documents, together with all exhibits and schedules, constitutes the entire agreement of the parties with respect to the subject matter hereof and thereof.

This Agreement, the other Credit Documents and any separate letter agreements with respect to fees payable to the Administrative Agents or the Co-Lead Arrangers, for their own account and benefit and/or for the account, benefit of, and distribution to, the Lenders, constitute the entire contract among the parties relating to the subject matter hereof and thereof and supersede any and all previous agreements and understandings, oral or written, relating to the subject matter hereof or thereof.

Effectiveness; Integration. This Agreement shall become effective upon the execution of a counterpart hereof by each of the parties hereto and receipt by Borrower and Administrative Agent of written or telephonic notification of such execution and authorization of delivery thereof. In the event that any provision of any Exhibit to this Agreement is deemed to conflict with this Agreement, the provisions of this Agreement shall control. This Agreement, the other Credit Documents and any separate letter agreements with respect to fees payable to the Administrative Agent constitute the entire contract among the parties relating to the subject matter hereof and supersede any and all previous agreements and understandings, oral or written, relating to the subject matter hereof.
Effectiveness; Integration. This Agreement shall become effective upon the execution of a counterpart hereof by each of the parties hereto and receipt by Borrower and Administrative Agent of written or telephonic notification of such execution and authorization of delivery thereof. With the exception of the Engagement Letter, the Fee Letter and the indemnification (to the extent not separately covered by Section 10.3), confidentiality, jurisdiction, governing law, waiver of jury trial and the syndication provisions contained in the Commitment Letter that shall remain in full force and effect with respect to matters covered by the Commitment Letter, the Borrower’s and the Lenders’ and their respective Affiliates’ obligations under the Commitment Letter shall terminate and be superseded (and Borrower, the Lenders and their respective Affiliates shall be released from all liability in connection with such terminated and superseded obligations under such Commitment Letter) by the Credit Documents (together with any other documents, instruments or agreements executed and delivered in connection therewith). In the event that any provision of any Exhibit to this Agreement is deemed to conflict with this Agreement, the provisions of this Agreement shall control.
Effectiveness; Integration. This Agreement and the Administrative Letter shall become effective at (but not before) the time when 100% of the Non-Contributed Loan held by the Initial Lender has been assigned to third parties pursuant to an instrument of assignment and acceptance in the form agreed for this purpose by the Borrower and the Initial Lender and dated of even date with this Agreement and all such assignments have become effective in accordance with their terms, provided that no such assignments shall become effective except simultaneously with the effectiveness of this Agreement, the Administrative Letter and the other such assignments. This Agreement and the Administrative Letter represents the agreement of the Borrower, the Lenders and the Administrative Agent with respect to the subject matter hereof, and there are no promises, undertakings, representations or warranties relative to the subject matter hereof not expressly set forth or referred to herein or in the Administrative Letter.
Effectiveness; Integration. This Agreement shall become effective on the Closing Date, and thereafter shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns. From and after the Closing Date, this Agreement, the other Credit Documents and any written agreement between the Borrower and the Initial Lender in connection with this Transaction in respect of any indemnity or reimbursement between such parties shall constitute the entire contract among the parties relating to the subject matter hereof and supersede any and all previous agreements and understandings, oral or written, relating to the subject matter hereof.
