Efforts Required. Consultant shall use reasonable efforts to be available to provide the services for which he is hereby engaged.

Each Party shall use its commercially reasonable efforts to take, or cause to be taken, such actions, to execute and deliver, or cause to be executed and delivered, such additional documents and instruments and to do, or cause to be done, all things necessary, proper or advisable under the provisions hereof and under applicable law to consummate and make effective the matters contemplated herein.

In the event of an Error, ESO will within the time periods set forth below, depending upon the priority level of the Error, commence verification of the Error; and, upon verification, will commence Error Correction. ESO will work diligently to verify the Error and, once an Error has been verified, and until an Error Correction has been provided to the Administrator, shall use commercially reasonable, diligent efforts to provide a workaround for the Error as soon as reasonably practicable. ESO will provide the Administrator with periodic reports on the status of the Error Correction on the frequency as indicated below.

(i) PRIORITY 1 ERROR. From the Effective Date through the four-month anniversary of the Effective Date, in the event of a Priority I Error, Intuit will, within one (1) business day of notification, commence work on resolving the Error in accordance with Section 2.1. Intuit will use commercially reasonable efforts to provide an Error Correction within ten (10) business days of such notification. Intuit will provide RTI with periodic reports (no less frequently than once each business day) on the status of the Error Correction.

Efforts Required. Each party shall use reasonable efforts to complete as promptly as practicable the preclinical and clinical research and development tasks assigned pursuant to this Agreement as well as all tasks as shall be assigned to it from time to time by the Steering Committee. Each party shall report to the other and to the Steering Committee in writing from time to time and as reasonably requested by the Steering Committee on the progress of its research and development activities related to each Product.
