Efforts to Consummate Transaction. The Parties shall use their commercially reasonable efforts to take or cause to be taken all such actions required to consummate the transactions contemplated hereby including, without limitation, such actions as may be necessary to obtain, prior to the Closing, all necessary governmental or other third-party approvals and consents required to be obtained by the Company, Sellers or Buyer in connection with the consummation of the transactions contemplated by this Agreement.
Efforts to Consummate Transaction. (a) From the date hereof through the Closing Date, upon the terms and subject to the conditions set forth in this Agreement, each of the parties hereto shall use its commercially reasonable efforts to take, or cause to be taken, all actions, and to do, or cause to be done, and to assist and cooperate with the other parties in doing, all things necessary, proper or advisable under applicable Laws and regulations to consummate and make effective the transactions contemplated by this Agreement. The parties will use their commercially reasonable efforts and cooperate with one another (i) in promptly determining whether any filings are required to be made or consents, approvals, waivers, licenses, permits or authorizations are required to be obtained (or, which if not obtained, would result in a Material Adverse Effect or an event of default, termination or acceleration of any agreement or any put right under any agreement) under any applicable Law or regulation or from any Governmental or Regulatory Authority or third parties, and (ii) in promptly making any such filings, in furnishing information required in connection therewith and in timely seeking to obtain any such consents, approvals, permits or authorizations.
Efforts to Consummate Transaction. Each of the Parties agrees to use all commercially reasonable efforts to take, or cause to be taken, all actions, and to do, or cause to be done, all things necessary, proper or advisable to the extent permissible under applicable Law, to consummate and make effective the Transaction as expeditiously as practicable and to ensure that the conditions set forth in ARTICLE 3 or otherwise in this Agreement are satisfied, insofar as such matters are within the control of such Party.

The parties will use their commercially reasonable efforts and cooperate with one another (i) in promptly determining whether any filings are required to be made or consents, approvals, waivers, licenses, permits or authorizations are required to be obtained (or, which if not obtained, would result in a Material Adverse Effect on the Corporation or its Subsidiaries or an event of default, termination or acceleration of any agreement or any put right under any agreement) under any applicable Law or regulation or from any Governmental or Regulatory Authority or third parties, and (ii) in promptly making any such filings, in furnishing information required in connection therewith and in timely seeking to obtain any such consents, approvals, permits or authorizations. For purposes of this Section 6.2, PSC shall not be obligated to make, or cause to be made, any payment to any third party as a condition to obtaining such party’s consent or approval, other than for required filing fees.
Efforts to Consummate Transaction. Subject to the terms and conditions herein provided, each of the parties agrees hereto to use its best efforts to take, or cause to be taken, all action and to do, or cause to be done, all things necessary, proper or advisable under applicable laws and regulations to consummate and make effective the transactions contemplated hereby in accordance with the terms of this Agreement.
Efforts to Consummate Transaction. Each Seller shall, and shall cause each of the Limited Companies and APX-Brazil to take all reasonable action, and do all things reasonably necessary or advisable in order to consummate the transactions contemplated by this Agreement, the APX Purchase Agreement and the Operative Agreements.

The Buyer and each Seller shall use their commercially reasonable efforts to take or cause to be taken all actions required to consummate the transactions contemplated hereby. The Buyer and Sellers shall file or supply, or cause to be filed or supplied, all material applications, notifications and information required to be filed or supplied by them or the Company pursuant to applicable law in connection with the transactions contemplated hereby, including without limitation filings and reports pursuant to the HSR Act. The Buyer and each Seller shall use its commercially reasonable efforts to obtain all Consents from Governmental Entities and third Persons required to be obtained by such respective party for the consummation of the transactions contemplated hereby. The Buyer shall cooperate in good faith with the Company and its Subsidiaries and the Sellers in the obtaining by the Company and its Subsidiaries of all Consents from Governmental Entities and third Persons required to be obtained by the Company and its Subsidiaries for the consummation of the transactions contemplated hereby. 6.3
Efforts to Consummate Transaction. Seller shall use reasonable best efforts to take or cause to be taken all actions required to consummate the transactions contemplated hereby.

Except as otherwise set forth herein, the parties shall use their commercially reasonable efforts to take or cause to be taken all such actions required to consummate the transactions contemplated hereby, including such actions as may be necessary to obtain, prior to the Closing, all necessary governmental or other third-party approvals and consents required to be obtained by Seller, NexCoil or Purchaser in connection with the consummation of the transactions contemplated by this Agreement. Seller shall use best efforts to cause the Assumed Contracts, and any licenses or permits (which by law are assignable) required to operate the Business, to be assigned to Purchaser.
Efforts to Consummate Transaction. (a) Each of the Shareholders (but only with respect to such Shareholder's obligations under this Agreement), Purchaser and the Company shall use its commercially reasonable efforts in good faith to take or cause to be taken all actions, and to do, or cause to be done as promptly as practicable, all actions necessary, proper or advisable under applicable Law to consummate and make effective as promptly as practicable the transactions contemplated by this Agreement and the other Transaction Documents, including the execution of documents, instruments or conveyances of any kind that may be reasonably necessary or advisable to carry out any of the transactions contemplated by the Transaction Documents. Neither Purchaser shall nor any Affiliate of Purchaser shall enter into or complete any transaction that would cause the Transaction (i) to be disapproved under Section 203 of the FPA, (ii) to contravene PUHCA, PURPA, the FPA or state energy regulatory Laws relating to utilities or utility holding companies or (iii) to contravene federal or state antitrust Laws.
