Employee Releases. The Company agrees that the Company shall use commercially reasonable efforts to enter into amended and restated versions of those agreements set forth in Section 6.23 of the Company Disclosure Letter in forms approved by Parent and for consideration not to exceed the amount set forth on Section 6.23 of the Company Disclosure Letter so that such agreements condition the receipt of severance pay or benefits by a Continuing Employee who is subject to those agreements upon such Continuing Employee’s timely execution and return (and non-revocation in any time provided to do so) of a general release of claims for the benefit of Parent, the Company, and their respective affiliates and representatives.
Employee Releases. Buyer shall have obtained a releases contemplated by Section 5.8 hereof.
Employee Releases. The Buyer and the Seller shall cooperate and use commercial reasonable efforts to obtain, prior to the Closing Date, a duly executed Employee Release from each employee of the Seller as of the Closing Date, provided that neither such party shall be obligated to obtain any such Employee Release. Employee Releases. The Sellers shall use reasonable best efforts to obtain, on or prior to the Closing, from each employee of the Sellers or any of their Subsidiaries who is not a Transferred Employee and who is being paid any severance or other termination payment in connection with the termination of his or her employment with the Sellers or their applicable Subsidiary as a result of the Transactions, an executed release, in form and substance reasonably satisfactory to Purchaser (provided, however, that any forms of releases attached to the applicable employee’s employment agreement shall be deemed satisfactory to Purchaser), releasing Purchaser and the other Purchaser Parties (after giving effect to the Transactions) from any and all claims arising out of or relating to the Transactions.
Employee Releases. The Vendor shall have released any Employees to be employed by the Purchaser from and after the Closing from any confidentiality or non-competition agreements or non-solicitation covenants with the Vendor except to the extent that these have been assigned to the Purchaser.
Employee Releases. The Vendor shall have released any Employees continuing to be Employees after the Closing from non-competition agreements or non-solicitation covenants with the Vendor.
Employee Releases. The Company shall use its good faith efforts to obtain from each recipient of a SAR Payment a receipt and release in the form attached hereto as Exhibit E. The Company shall obtain from the recipient listed on Schedule 1.2(a)(15) a release in the form annexed here to as Exhibit B.
Employee Releases. (i) Each person employed by the Company at any time since June 1, 1997, shall have executed a general release and waiver in a form acceptable to Parent of all claims arising out of the relationship of employment, the termination of employment, or any matter arising out of the employee's relationship with the Company or the transactions contemplated by this Agreement, other than any rights the employee may have (x) to receive a portion of the Merger Consideration as a holder of any Company Capital Stock or an Assumed Option, (y) to receive the distribution of such employee's vested interest in the Avid Corporation Savings Retirement Plan, or (z) to receive the portion of the Severance Payments to which the employee may be entitled, (ii) any period during which the employee is entitled under federal or state law to revoke the release and waiver shall have expired, and (iii) each originally executed release and waiver shall have been delivered to Parent.
Employee Releases. (a) Following the date of this Agreement, the Employee Parties will use reasonable commercial efforts to secure from each of the persons among those listed on Schedule B who would, but for such release, be entitled to receive vested shares of common stock of EPS, and from Nystxxx xxx Law, if they have not already executed and delivered a
