Employees Covenant. During and through the Term of this Agreement and continuing for a period of twenty four (24) months immediately following the termination of Executive’s employment with Employer, Executive shall not, directly or indirectly, cause or induce, or attempt to cause or induce, any employee of Employer to terminate his or her employment with Employer, as such employment exists at any time following the execution of this Agreement.
Employees Covenant. The Employee represents and warrants to the Employer that: (i) he is free to enter into this Agreement and that he is not subject to any obligation or restriction (whether under contract, statute, at common law or otherwise) which would prevent or interfere with the performance of all of his obligations hereunder (including, without limitation, any non-competition obligation or restriction or any fiduciary duty to any current or former employer or any Person for or of which the Employee is or at any time was a director, officer or security holder); and (ii) the execution and delivery of this Agreement by the Employee, the acceptance by the Employee of employment with the Employer, and the performance by the Employee of all of his obligations hereunder will not give rise to any claim or right (whether under contract, statute, at common law or otherwise) on the part or in favour of any Person (i) against the Employee or the Employer (or any of its Affiliates), or (ii) to any ownership interest in any intellectual property or other assets or property of the Employer or any of its Affiliates, including any Innovations which the Employee, solely or jointly with others conceives, reduces to practice, creates, derives, develops or makes in the course of or related to the Employee’s employment with the Employer.
Employees Covenant. During and through the Term of this Agreement and continuing for a period of thirty-six (36) months immediately following the termination of Kharazmi’s tenure as Chairman, Kharazmi shall not, directly or indirectly, cause or induce, or attempt to cause or induce, any employee of NuGene to terminate his or her employment with NuGene, as such employment exists at any time following the execution of this Agreement.
Employees Covenant. The Employee covenants to perform the duties of [Title] faithfully and to the best of their ability during the term of this Agreement.
Employees Covenant. (i) engage in, or have any interest in or be associated with (whether as an officer, director, shareholder, partner, member, associate, employee, consultant, advisor, owner or otherwise), any corporation, partnership, limited liability company, association, trust, firm or other enterprise (including any pre-incorporated association): (a) which is engaged in the same or similar lines of business as Employer (the "Business") or any facet of such Business, anywhere in the Geographic Area (defined in Section 4C below), or (b) which competes during the Covenant Period anywhere in the Geographic Area with Employer or Boulder or any of Employer's affiliates (without first obtaining the express written consent of the President of Employer); except that notwithstanding the foregoing, Employee may invest in any publicly-held corporation engaged in the Business, if such investment does not exceed one (1%) percent in the aggregate in value of the issued and outstanding capital stock of such corporation;
(ii) divert from the Business of Employer, or by aid of others, do anything which would tend to divert from the Business of Employer, any trade or business with any customer or vendor with whom Employer, Boulder or Employee has or, at any time within two (2) years immediately preceding the end of the Term, had any contact or association in connection with the Business;
(iii) solicit, induce or attempt to induce any employee of Employer (excluding Ross Xxxxxx xxx/or Adam Xxxxxxxx, xxt specifically including any former employee of Employer who left the employ of Employer at any time within one (1) year immediately preceding the end of the Term), to leave the employment of Employer or enter into the employ of (i) Employee, (ii) any entity of or to which Employee is an employee, consultant or advisor or in which Employee otherwise has any interest whatsoever, or (iii) any competitor of Employer;
(iv) use, copy, publish, disseminate, distribute or otherwise disclose any proprietary or confidential information of Employer or Boulder, of any kind or nature whatsoever, including, without limitation, all Employer and Bould...
Employees Covenant. NOT TO XXX OR ACCEPT RECOVERY. Employee covenants not to xxx Company or any party released herein on account of any claim released hereby, or to encite, assist or encourage others to bring claims against Company. Employee further covenants not to accept, recover or receive any monetary damages or any other form of relief which may arise out of or in connection with any administrative remedies which may be filed with or pursued independently by any governmental agency or agencies, whether federal, state or local. 8.

During and throughout the Term of this Agreement and continuing for a period of twenty-four (24) months immediately following the termination of Froggatt’s employment with Employer, Froggatt shall not, directly or indirectly, or by action in concert with others, cause or induce or influence, or attempt to cause or induce or influence, any employee, agent, independent contractor, or other business affiliate of Employer to terminate his or her relationship with Employer, as such relationship exists at any time following the execution of this Agreement.
