Employee's Manager. (a) Sellers represent that they have no employees and therefore, no collective bargaining agreement covering any of Sellers’ employees is presently in effect or being negotiated nor will any collective bargaining agreement be in effect or being negotiated on or as of the Closing Date. (b) To the extent included as part of the Purchaser Credit, Purchaser agrees, from and after the Closing Date, to be responsible for, and to indemnify, defend and hold Seller harmless from, all costs and expenses of accrued and unpaid vacation and sick leave for all of Seller’s employees, including payroll taxes due in connection therewith. The covenants and agreements contained in this Section 16(b) are not intended and shall not confer any benefit or right on any person or entity other than the parties to this Agreement. Seller shall be and remain solely responsible for payment of any other payroll and employee benefits accrued in connection with its employees for any period prior to the Closing Date (to the extent not credited to Purchaser at the Closing) and shall indemnify, defend and hold Purchaser harmless therefrom. (c) Purchaser acknowledges that the Property is presently managed by Rockresorts International, LLC (the “Manager”) in accordance with that certain Hotel Management Agreement (the “Management Agreement”) dated May 1, 2005. Purchaser and Sellers shall use reasonable good faith efforts to obtain Manager’s written consent to the Management Agreement Assignment and an acknowledgement that Purchaser is a “Qualified Transferee” as such term is defined the Management Agreement (the “Manager Consent”) on or prior to the end of the Due Diligence Period. If Manager provides the Manager Consent, the Purchaser shall assume the Management Agreement and shall deliver the Management Agreement Assignment at Closing. If Manager fails to provide the Manager Consent by the end of the Due Diligence Period, Sellers shall arrange to terminate the Management Agreement as of the Closing Date; provided, however, that Purchaser shall be solely responsible for the payment of any termination fee which may be due Manager under the Management Agreement and shall deliver at Closing such other documents to evidence its obligation to pay any such termination fee as Sellers may reasonably require. Sellers shall copy Purchaser on any termination notice sent to Manager. Purchaser’s obligation to pay any such termination fee shall survive the Closing or the earlier termination of this Agreeme...

  • Executive Director (a) The HMO must employ a qualified individual to serve as the Executive Director for its HHSC HMO Program(s). Such Executive Director must be employed full-time by the HMO, be primarily dedicated to HHSC HMO Program(s), and must hold a Senior Executive or Management position in the HMO’s organization, except that the HMO may propose an alternate structure for the Executive Director position, subject to HHSC’s prior review and written approval. (b) The Executive Director must be authorized and empowered to represent the HMO regarding all matters pertaining to the Contract prior to such representation. The Executive Director must act as liaison between the HMO and the HHSC and must have responsibilities that include, but are not limited to, the following: (1) ensuring the HMO’s compliance with the terms of the Contract, including securing and coordinating resources necessary for such compliance; (2) receiving and responding to all inquiries and requests made by HHSC related to the Contract, in the time frames and formats specified by HHSC. Where practicable, HHSC must consult with the HMO to establish time frames and formats reasonably acceptable to the Parties; (3) attending and participating in regular HHSC HMO Executive Director meetings or conference calls; (4) attending and participating in regular HHSC Regional Advisory Committees (RACs) for managed care (the Executive Director may designate key personnel to attend a RAC if the Executive Director is unable to attend); (5) making best efforts to promptly resolve any issues identified either by the HMO or HHSC that may arise and are related to the Contract; (6) meeting with HHSC representative(s) on a periodic or as needed basis to review the HMO’s performance and resolve issues, and (7) meeting with HHSC at the time and place requested by HHSC, if HHSC determines that the HMO is not in compliance with the requirements of the Contract.

  • The Employer This Agreement shall inure to the benefit of and be binding upon the Employer and its successors and assigns. (B) Schedule 6.15(B) hereto lists all compensation and benefit plans, contracts and arrangements maintained, sponsored or participated in by Seller or any of its Affiliates in connection with the Business and in effect as of the date hereof including, without limitation, all pension (including all such employee pension benefit plans as defined in Section 3(2) of ERISA), profit-sharing, savings and thrift, fringe benefit, bonus, incentive or deferred compensation, severance pay and medical and life insurance plans and employee welfare plans as defined in Section 3(1) of ERISA that are sponsored by Seller or any of its Affiliates and in which any employees of Seller participate (collectively, “Employee Benefit Plans”). (C) As to Employee Benefit Plans sponsored by Seller or its Affiliates that are “employee pension benefit plans” as defined in Section 3(2) of ERISA, such plans sponsored by Seller or its Affiliates are tax qualified under Section 401(a) of the Code, are not currently under examination by, nor are any matters pending before, the Internal Revenue Service, the Employee Benefits Security Administration or any quasi-government agency, are not subject to any claim, suit or arbitration (other than routine claims for benefits), are not subject to the minimum funding standards of Code Section 412, are in compliance with and have been administered in accordance with their terms and in compliance with all applicable requirements of law, including, but not limited to, the Code and ERISA, and there have been no prohibited transactions as defined in Code Section 4975 or ERISA Section 406 with respect to such plans that could subject Seller or its Affiliates to a tax or penalty under Code Section 4975 or ERISA Section 502(i). (D) Neither Seller nor any of its Affiliates has incurred any Liability under Title IV of ERISA that has or could, after the Effective Date, become a Lien upon any of the Purchased Assets pursuant to ERISA Section 4068. (E) Neither Seller nor any of its Affiliates is or has ever been required to contribute to any “multiemployer plan,” as such term is defined in Section 4001(a)(3) of ERISA, in which any employees of Seller in connection with the Business participate. (F) Except as set forth in Schedule 6.15(F), no Employee Benefit Plan provides medical, surgical, hospitalization, death or similar benefits (whether or not insured) for employees for period extending beyond their retirement or other termination of service, other than (i) coverage mandated by applicable law, or (ii) death benefits under any pension plan. (G) For the purposes of this Section 6.15, Seller shall include all trades or business under common control with Seller as provided in the regulations under Code Section 414(c).
