Employment of Officers, Employees and Consultants. To the Company's knowledge, no third party may assert any valid claim against the Company or its Subsidiaries with respect to the (i) continued employment by, or association with, the Company or its Subsidiaries of any of its present officers, employees or consultants; or (ii) the use by the Company or its Subsidiaries of any information which the Company or its Subsidiaries would be prohibited from using under any prior agreements or arrangements or any laws applicable to unfair competition, trade secrets or proprietary information.
