or\n11.4.1.6 the Supplier fails to comply with its legal obligations in the fields of environmental, social, equality or employment Law when providing the Deliverables.\n11.4.2 If any of the events in 73(1) (a) or (b) of the Regulations happen, the Buyer has the right to immediately terminate the Contract and clauses 11.5.1.2 to 11.5.1.7 apply.\n11.5 What happens if the Contract ends\u200c\n11.5.1 Where the Buyer terminates the Contract under clause 10.9, 11.4, 7.8.2, 28.4.2, or Paragraph 8 of Part B Joint Controller Agreement (Optional) of Annex 1 \u2013 Processing Personal Data (if used), all of the following apply:\u200c\n11.5.1.1 the Supplier is responsible for the Buyer's reasonable costs of procuring replacement Deliverables for the rest of the term of the Contract;\n11.5.1.2 the Buyer's payment obligations under the terminated Contract stop immediately;\u200c\n11.5.1.3 accumulated rights of the Parties are not affected;\n11.5.1.4 the Supplier must promptly delete or return the Government Data except where required to retain copies by Law;\n11.5.1.5 the Supplier must promptly return any of the Buyer's property provided under the Contract;\n11.5.1.6 the Supplier must, at no cost to the Buyer, give all reasonable assistance to the Buyer and any incoming supplier and co-operate fully in the handover and re-procurement; and\n11.5.1.7 the Supplier must repay to the Buyer all the Charges that it has been paid in advance for Deliverables that it has not provided as at the date of termination or expiry.\u200c\n11.5.2 The following clauses survive the expiry or termination of the Contract: 1, 4.2.9, 5, 7, 8.4, 10, 11.5, 12, 14, 15, 16, 18, 19, 32.2.2, 36 and 37 and any clauses which are expressly or by implication intended to continue.\n11.6 When the Supplier can end the Contract and what happens when the contract ends (Buyer and Supplier termination)\u200c\n11.6.1 The Supplier can issue a reminder notice if the Buyer does not pay an undisputed invoice on time. The Supplier can terminate the Contract if the Buyer fails to pay an undisputed invoiced sum due and worth over 10% of the total Contract value or \u00a31,000, whichever is the lower, within 30 days Essentials) (where applicable) or Schedule 36 (Intellectual Property Rights) relating to the Contract;\ni) the performance of the Supplier causes a Critical Service Level Failure to occur;\nj) there\u2019s a consistent repeated failure to meet the Service Levels in Schedule 10 (Service Levels);\nk) there\u2019s a Change of Control of the Supplier which isn\u2019t pre-approved by the Buyer in writing;\nl) the Buyer discovers that the Supplier was in one of the sit- uations in 57 (1) or 57(2) of the Regulations at the time the Contract was awarded;\nm) the Supplier or its Affiliates Buyer has the right to immediately terminate the Con- tract and Clauses 13.5.1b) to 13.5.1h) applies.\n13.5 What happens if the contract ends?\n13.5.1 Where the Buyer terminates the Contract under Clauses 13.4.1 and 8.5, Paragraph 4.1 of Schedule 37 (Corporate Resolution Planning) (where applicable) or Paragraph 7 of Schedule 24 (Financial Difficulties) (where applicable). all of the following you resell or sub-licence the Services or otherwise make the Services available to any other person or assign, sub-licence or otherwise transfer this Contract or any of your rights or obligations arising under it or attempt to do so;\n12.2.7 any Authorisation is revoked or modified in any way which has a material impact on our ability to provide the Services or any of them;\n12.2.8 we are prohibited from providing or restricted in our entitlement to provide the whole or any part of the Services; or\n12.2.9 our contract with any Third Party Provider for the provision of any of the Services is terminated (for any reason whatsoever).\n12.3 For the purposes of clause 12.2 \"material breach\" shall include any failure by you to comply with your obligations under this clause 12.\n12.4 We may end this Contract or any one of the Services at any time by giving you 90 days' prior written notice.\n12.5 In the event of termination in accordance with this Clause 12 during the Minimum Period you will be liable to pay any Charges which would apply to the unexpired portion of the Minimum Period.
