Energy Contributions. Except as reflected in the -------------------- financial statements attached as Schedule 3.7(b), since December 31, 1999, neither the Company nor any Non-Energy Subsidiary has made any equity contribution, or otherwise transferred any cash or property, to, or assumed any liability on behalf of, the Energy Business. Article IV Representations and Warranties of Parent and Merger Sub Parent and Merger Sub represent and warrant to the Company subject to such exceptions as are disclosed in writing in the disclosure letter supplied by Parent to the Company, which disclosure shall provide an exception to or otherwise qualify the representations or warranties of Parent and Merger Sub specifically referred to in such disclosure and such other representations and warranties to the extent such disclosure shall reasonably appear to be applicable to such other representations or warranties (the "Parent Disclosure Schedule"), as follows:
