Enforceability of Assignment Agreement. The Corporation has the power, authority, and legal right to execute, deliver and perform this Assignment Agreement, and this Assignment Agreement is a valid, binding, and enforceable obligation of the Corporation, except as such enforceability may be limited by bankruptcy, insolvency or other laws affecting creditors’ rights generally and by the application of equitable principles; and
Enforceability of Assignment Agreement. The Corporation is a nonprofit public benefit corporation duly organized, existing and in good standing under the laws of the State of California. The Corporation has the power, authority, and legal right to execute, deliver and perform this Assignment Agreement, the Site Lease and the Lease Purchase Agreement, and this Assignment Agreement, the Site Lease and the Lease Purchase Agreement are valid, binding, and enforceable obligations of the Corporation, enforceable in accordance with their terms, except as such enforceability may be limited by applicable bankruptcy, insolvency, reorganization, moratorium or other laws affecting creditors' rights generally and by the application of equitable principles;
