Enforceability Opinion. If required by the Agent, the favorable legal opinion of counsel to Borrower or such Subsidiary Guarantor, from counsel reasonably acceptable to the Agent and qualified to practice in the State in which such Real Estate is located, addressed to the Lenders and the Agent covering the enforceability of such Security Documents and such other matters as the Agent shall reasonably request.
Enforceability Opinion. The favorable legal opinion of counsel to Borrower or such Subsidiary Guarantor, from counsel reasonably acceptable to the Agent, addressed to the Lenders and the Agent covering the enforceability of the Joinder Agreement and such other matters as the Agent shall reasonably request.
Enforceability Opinion. The favorable legal opinion of counsel to the Borrower, the Guarantor and any Approved Subsidiary reasonably acceptable to the Agent qualified to practice in the State in which such Real Estate is located, addressed to the Banks and the Agent and in form and substance satisfactory to the Agent as to the enforceability of such Security Documents (including the opinion that the Special Security Documents and the agreement herein for the future recording thereof are enforceable between the parties thereto, with appropriate qualifications acceptable to the Agent as to the enforceability against third parties prior to recordation thereof) and such other matters as the Agent shall reasonably request.
Enforceability Opinion. The Company will use its Best Efforts to deliver to Investor promptly following the First Closing Date an opinion of the Company's Delaware counsel that this Agreement, the Registration Rights Agreement and the Warrants constitute the legally valid and binding obligations of the Company and are enforceable under Delaware law.
Enforceability Opinion. The favorable legal opinion of counsel to such Credit Party, from counsel reasonably acceptable to the Administrative Agent and qualified to practice in the State in which such Real Property is located, addressed to the Lenders and the Administrative Agent covering the enforceability of such Security Documents and such other matters as the Administrative Agent shall reasonably request.
Enforceability Opinion. The favorable legal opinion of counsel to the Borrower (or the Guarantor, as applicable) reasonably acceptable to the Majority Banks qualified to practice in the State in which such Real Estate is located, addressed to the Banks and in form and substance satisfactory to the Majority Banks as to the enforceability of such Security Documents and such other matters as the Majority Banks shall reasonably request.
Enforceability Opinion. 2.9. Each of the Agreements (other than the Trust Agreements) to which either of Hxxxxxxxx or the Trust is a party constitutes a legal, valid and binding obligation of that party, enforceable against that party in accordance with its terms.
Enforceability Opinion. 10. Each of the Documents constitutes a legal, valid and binding obligation of each of the Loan Parties party thereto including, in the case of Axxxxxxxx Lumber, on EXECUTION COPY its own behalf, and as general partner on behalf of Axxxxxxxx XX, and is enforceable against such Loan Parties in accordance with its respective terms.
Enforceability Opinion. An opinion of the Company's legal counsel in the state of Delaware in the form attached hereto as EXHIBIT "E" dated as of the Closing Date;
Enforceability Opinion. Each of the Opinion Documents constitutes, with respect to each Transaction Party that is a party thereto, a valid and binding obligation of such Transaction Party, enforceable against such Transaction Party in accordance with its terms.
