Engagement Services. The Services to be provided by Contractor for this Engagement may include the following: meeting with FIU to gather information; collaborating with FIU to develop an overall search plan of action, timeline and recruitment materials; and designing an interview and selection process; assisting in creation or updates to the Position profiles; assisting in determining how to advertise the Position and assisting with placement of the advertisements; actively recruiting applicants, screening applicants; tracking and managing prospect and candidate information throughout the search process, comparing potential candidates; assisting FIU in conducting background checks and coordinating reference checks on selected candidates; providing technical, administrative, and logistical support for the search and interview process, site visits, final selection, contract negotiations, transition considerations, and follow-up; and collaborating with FIU throughout the search; and any other services as described in the Agreement.
Engagement Services. This Engagement is to provide (SERVICES) as a (enter Area of Expertise). This Engagement is for the Contractor to provide FIU the following:
Engagement Services. 2.1 Gravity may engage the Services of the Contractor by issuing the Contractor with a Call Sheet which, once accepted by the Contractor, will create a binding agreement between Gravity and the Contractor which includes the terms of this Contract.
2.2 The Contractor may accept a Call Sheet by signing and returning it to the Gravity officer who issued the Call Sheet or by indicating its acceptance in a return email or SMS (text) message to the Gravity officer who issued the Call Sheet.
2.3 The Contractor must ensure that the Key Freelancer provides the Services and such other services as may be reasonably requested by Gravity in relation to the Event(s), subject to another Freelancer providing the Services in accordance with clause 2.12. Each offer by Gravity Media to engage the Services of the Contractor for an Event which the Contractor accepts shall be treated as a separate and severable engagement.
2.4 The Contractor shall procure that each Freelancer:
(a) provides Services to Gravity Media for the Work Days at the Location required by Gravity Media and at the agreed Job Role Rate;
(b) agrees to work such hours in the day as are necessary to fulfil the Contractor's obligations under this Contract and acknowledge that the length of the Work Day is flexible as required by Gravity Media and the Client to perform the Services; and
(c) shall be paid at the agreed Job Role Rate which shall apply to the provision of Services on any day of the week and at any time of day. The Contractor acknowledges and agrees that the Job Role Rate includes all entitlements and allowances that may accrue to the Contractor or the Freelancer in his or her capacity as an employee of the Contractor including, but not limited to, overtime, public holidays and any employee entitlement such as annual leave, personal leave, long service leave or any other leave , and any superannuation guarantee levy.
2.5 The Contractor’s engagement under the Contract is subject to and conditional upon:
(a) the Freelancer being legally entitled to work and perform the Services in the geographical location in which the Services are to be performed and if requested, providing evidence of the same;
(b) if requested by Gravity Media, delivery of such references which are considered satisfactory by Gravity Media in its absolute discretion;
(c) each Freelancer signing and returning to Gravity Media an undertaking in the form set out in Annexure A.

Engagement Services. Company hereby agrees to engage Consultant as an independent contractor to introduce the Company to certain parties with whom the Company may engage in a business relationship (the "Services") and to create any deliverables that may arise from the performance of the services in this Section 1 (the "Deliverables"). The Consultant will appoint Xxxxx Xxxxxxx to carry out its responsibilities, duties, and functions hereunder unless otherwise agreed with the Company in writing. The Consultant will also serve as an advisor solely to the CEO and President to help support daily operating responsibilities and overall corporate growth strategies for the Company. The Consultant hereby agrees to also serve as a personal guarantor to the Company credit line until such time where the guarantees are no longer needed or this Agreement is no longer in place.
Engagement Services. (a) Engagement. GK retains the Agent to provide, and the Agent shall provide, the services described in Exhibit A (the “Services”). Compensation also detailed in Exhibit A ("Compensation").
Engagement Services. Subject to the terms and conditions specified herein, during the Term (as defined below), the Company engages Meridian, and Meridian accepts such engagement, as an independent contractor to provide certain specified services to the Company and certain of its Affiliates (as defined below) as designated by the Board (as defined below) from time to time (the “Company Group”). Meridian shall provide to the Company the services of the Consultants with each Consultant to serve as an officer of Xxxx Xxxx (as defined below) and such other members of the Company Group as designated by the Board from time to time in the positions identified opposite the name of such Consultant on Exhibit A hereto, reporting to the board of directors (the “Board”) of Xxxx Xxxx Resources, Inc., a Delaware corporation (“Xxxx Xxxx”). Each Consultant shall perform all duties and functions customarily performed by the applicable officer position for a business of the size and nature similar to that of the Company Group (collectively, the “Services”), and such other duties as may be assigned to such Consultant by the Board.
Engagement Services. (A) As of the Effective Date, on the terms and subject to the conditions described in this Agreement, each Company hereby engages ProCentury, and ProCentury hereby accepts the engagement, to provide such Services, from the menu of Services set forth in Section 1(B) below, as the Companies shall request ProCentury to provide to one or both of the Companies from time to time for the purpose of conducting their property and casualty insurance businesses. ProCentury may, in its discretion and without notice to the Companies, provide the Services directly or through any affiliate, including Century. For the purposes of this Agreement, the performance of any Service by or through an affiliate of ProCentury or such affiliate's employees, officers, agents or representatives shall be deemed to be the performance of such Service by ProCentury and its employees, officers, agents or representatives.
(B) The Services shall include the following:
(1) maintenance of financing and accounting records and controls, including preparation and review of periodic financial statements and reports to be filed with insurance regulatory entities and those required to be prepared for any financial institutions or pursuant to indentures or other credit arrangements;
(2) cash management and investment services;
(3) billing and collection services and related record keeping and reports;
(4) tax management and administration, including filing of federal and state tax returns, tax reporting, examinations by governmental taxing authorities and tax planning;
(5) internal audit, compliance and control functions;
(6) human resource services;
(7) employee benefits services;
(8) legal department services;
(9) regulatory affairs services;
(10) payroll processing services;
(11) employee benefit plan access;
(12) mail room services;
(13) secretarial and other clerical services; and
(14) such other services as the Companies and ProCentury may agree to from time to time. The Services to be performed by ProCentury during the initial term of this Agreement (as provided for in Section 8(A) hereof) are all of those Services identified in Section 1(B)(1) through Section 1(B)(13) above. At any time after the initial term of this Agreement, the Companies shall have the right to eliminate particular Services upon not less than ninety (90) days prior written notice to ProCentury. Engagement Services. Engagement Services. ViSalus hereby engages Contractor to provide during the Term (as defined in Section 3, below) the services set forth on the attached Exhibit A (collectively, the “Services”). During the Term, Contractor agrees to devote such business efforts and time as is reasonably required to fulfill Contractor’s duties in connection with the Services, to provide the same in a diligent and conscientious manner and to the best of Contractor’s ability, in accordance with applicable law, and the terms and conditions provided in this Agreement.
Engagement Services. 3.01 CELGENE hereby engages SHARP and SHARP hereby accepts the engagement by CELGENE, to provide the services hereinafter described on the terms, and subject to the conditions set forth in this Agreement.
3.02 SHARP will, as agent for CELGENE, process sales orders for the Products, ship the Products and process returns of the Products. Without limiting the generality of the preceding sentence, SHARP will
(a) dedicate at least *** square feet at the SHARP facility for the warehousing of the Products, the processing of sales orders for the Products and the processing of returns of the Products;
(b) dedicate at least *** full-time SHARP employees to provide the services described herein;
(c) provide storage space at the SHARP facility to store API as needed;
(d) provide perpetual tracking of inventory of the Products by lot number.
(e) provide supervision of the destruction of returned and expired Products; and provide reporting and documentation of product destruction within ten business days of destruction of product.
(f) provide for the refrigerated, 2-8(degrees)C (36-46(degrees)F), storage as required.
(g) provide office space for at least *** Celgene employee.
3.03 CELGENE will provide SHARP remote access to CELGENE's validated sales order processing system, and the computer equipment to be described on Schedule 3.03 hereto for the purpose of such access and to enable SHARP to report on a daily work-day basis to CELGENE. SHARP acknowledges that any and all information equipment, inventory or other items provided to SHARP pursuant to this Agreement shall be and remain the exclusive property of CELGENE, shall be used by SHARP solely for the purpose of rendering the services provided for hereunder and shall be returned promptly by SHARP to CELGENE upon termination of this Agreement, without SHARP having retained any copy thereof.
