Engaging third parties or subcontractors. 5-1 For purposes of this Agreement, the Processor may engage sub-processors, by having the personal data processed by the Controller for purposes of use of the services stored on third-party servers. 5-2 Appendix 1 contains a list of sub-processors approved by the Controller. If the Processor wishes to use other sub-processors, the Processor will notify the Controller by email prior to the assignment of the sub-processors and take measures to ensure the same data protection obligations as set out in this Agreement shall be imposed on those sub-processors. If the Controller objects to the assignment by the Processor of the relevant sub-processors(s), the Controller will inform the Processor of this in writing or by e-mail within 2 weeks after it has been notified by the Controller, in which case both the Processor and the Controller will be authorized to terminate the Licence Agreement as of the date on which the sub-processor will commence its work for the Processor, without any obligation to compensates costs or damages. 5-3 The Processor will ensure that such third parties undertake in writing at least the same obligations as agreed between the Controller and the Processor. 5-4 The Processor warrants proper compliance with the obligations under this Agreement by any such third parties and, in the event of errors by such third parties, will be liable for any and all damage as if it had committed such error or errors itself, the Processor's liability being limited to that provided for in article 12 of this Agreement.

Engaging third parties or subcontractors. 3.1 The Processor is permitted to use third parties or subcontractors within the framework of these Processor Terms and Conditions, provided the Processor notifies the Controller in advance. The Processor currently uses the services of Rootnet (xxxxx://xxx.xxxxxxx.xx/) for data storage. The Processor uses Vodafone and T-Mobile as its telecommunication service providers for “Critical IoT”-services. KPN and Tele2 are also used for "Massive-IoT" services (including sensors). In addition, Processor shares data with API providers, such as RailAlert if the person concerned gives permission for this. The Controller will be notified as soon as new or other parties are used for the processing of Personal Data. 3.2 The Processor will ensure that these third parties or subcontractors assume the same obligations in writing as those in effect between the Processor and the Controller.

Customer hereby authorizes Easygenerator to use a sub-processor in the processing of personal data (see annex 1 for details), pursuant to this DPA, with due observance of the applicable privacy legislation. These third parties only will process limited data, for example, email address of the author to provide support, DPA’s are in place with all sub-processors. None of these sub-contractors have access to the database with personal data. The full list of sub-contractors and their purpose is listed Annex 2.

Customer has the right to object to any third party. If Customer objects to the third parties engaged by EASYGENERATOR, the Parties will consult each other to find a suitable solution. 5.3 EASYGENERATOR, ensures in any case that these third parties take on the same obligations in writing as agreed between Customer and EASYGENERATOR.

The foregoing shall not apply to the Sub-processors listed in Appendix 1. During the term of this Agreement, Processor may add to and/or change the Sub-Processors listed in Schedule 2. Controller may object to the engagement of another Sub-Processor, but will not unreasonably withhold its consent to the engagement of other Sub-Processors. 5.2 To the extent that Controller agrees to engaging a Sub-Processor, Processor shall impose the same or more stringent obligations on such Sub-Processor as arise for itself under this Processing Agreement and the Act. Processor will record these agreements in writing and will monitor compliance by the Sub-Processor. Processor shall provide Controller with a copy of the agreement(s) entered into with the Sub- processor upon request. Controller’s consent to the outsourcing of work to a Sub-processor does not affect the consent required for the deployment of Sub-processors in a country outside the European Economic Area.

At the request of the Controller, the Processor will inform the Controller about the Sub Processors it has engaged. 7.2. The Processor remains at all times the point of contact for the Controller and is responsible for compliance with the provisions of this Data Processing Agreement.

Controller’s consent to the outsourcing of work to a Sub-processor does not affect the consent required for the deployment of Sub-processors in a country outside the European Economic Area.

If Easygenerator wishes to engage a new sub-contractor, Easygenerator updates this DPA and send it over for approval to Customer. Data processing agreements that include at least as strict terms as the one concluded between the Parties must be signed by Easygenerator and all new- subcontractors.
