Enhancements. No Enhancement shall be provided in respect of any Series of Notes, nor will any Enhancement Provider have any rights hereunder, as third-party beneficiary or otherwise, unless the Servicer has provided its prior written consent to such Enhancement, such consent not to be unreasonably withheld.
Enhancements. (a) During the term of this Agreement, IRORI shall notify BMS promptly after the development of any Enhancement not developed for BMS pursuant to Section 5.4(b). Any such notice shall include a copy of the applicable Enhancement Specifications. BMS shall have the right to purchase, or to obtain a Right and License to use, as the case may be, any or all such Enhancements. In the event that BMS wishes to purchase any such Enhancement or such Right and License, BMS shall notify IRORI, and IRORI shall quote BMS a price therefor (the "Enhancement Purchase Price"). *** *** ***. BMS may purchase such Enhancement or a Right and License to use same, as the case may be, by submitting a purchase order which is in a form mutually acceptable to the parties, to the extent that such form is not inconsistent with the terms of this Agreement, within *** .
(b) In addition, BMS shall have the right to request, from time to time, that IRORI develop Enhancements to meet Enhancement Specifications proposed by BMS. IRORI shall not unreasonably refuse to develop any such Enhancements. Promptly after any such request by BMS, the Development Committee shall develop the Enhancement Specifications for the Enhancement. Promptly after the Enhancement Specifications have been finalized, IRORI shall quote BMS the Enhancement Purchase Price for the development and incorporation of such Enhancement into the System (and, to the extent necessary a Right and License to use same), *** , and shall provide a good faith estimate of the time IRORI will require to develop such Enhancement. BMS may purchase such Enhancement or a Right and License to use same, as the case may be, by submitting a purchase order which is in a form mutually acceptable to the parties, to the extent that such form is not inconsistent with the terms of this Agreement, *** . Following receipt of any such purchase order, IRORI shall use its best commercial efforts to deliver and incorporate into the System such Enhancement within the estimated development period.
(c) For a period of *** after IRORI's incorporation of any Enhancement into the System, BMS shall have the right to test the System to verify that the Enhancement conforms to the applicable Enhancement Specifications (using the testing protocol developed by the *** Portions of this page have been omitted pursuant to a request for Confidential Treatment and filed separately with the Commission
Enhancements. General enhancements to existing eCommerce Services provided hereunder, as well as new features that Netgateway incorporates into its standard commerce processing system, regardless of whether they are initiated by Netgateway or developed at the request of Subscriber or other subscribers, shall be made available to Subscriber at no additional cost. Any new features or services that may be developed by Netgateway during the term of this Agreement that Netgateway intends to offer to subscribers on a limited or optional basis may, at Netgateway' option, and subject to Subscribers' acceptance, be made available to Subscriber at Netgateway's then-current prices for such new features or services. Enhancements to existing eCommerce Services requested by Subscriber that benefit only subscriber at the time such enhancements are put into service shall be billed to Subscriber at Netgateway's standard rates for programming. All enhancements to the eCommerce Services, and any new features or services introduced by Netgateway, shall remain the exclusive proprietary property of Netgateway.
Enhancements. From time to time, and at its sole discretion, RIB may (whether directly or through a RIB Service Partner) make available changes, updates, patches, fixes, enhancements, and/or additional functionality in the Application. RIB (or RIB Service Partner) shall have no obligation to notify, disclose or offer to Customer any such features or functionality.
Enhancements. During the Maintenance Period, Client may request that Designer develop enhancements to the Deliverables, and Designer shall exercise commercially reasonable efforts to prioritize Designer’s resources to create such enhancements. The parties understand that preexisting obligations to third parties existing on the date of the request for enhancements may delay the immediate execution of any such requested enhancements. Such enhancements shall be provided on a time and materials basis at Designer’s then in effect price for such services.
Enhancements. From time to time at its discretion, RIB may (directly or through a RIB Service Partner) implement releases of the Application that contain changes, updates, patches, fixes, enhancements to functionality, and/or additional functionality. RIB Service Partner in its sole discretion will generally support the most recent and the immediately previous release family, and RIB will determine whether to include in the Application, as part of the maintenance hereunder, features or functionality not originally specified for the Application, and RIB or RIB Service Partner shall have no obligation to disclose or offer to Customer any such features or functionality.
Enhancements. You are under no obligation whatsoever to provide any bug fixes, patches, or upgrades to the features, functionality or performance of the source code ("Enhancements") to anyone; however, if you choose to make your Enhancements available either publicly, or directly to Berkeley Lab, without imposing a separate written license agreement for such Enhancements, then you hereby grant the following license to Berkeley Lab: a non-exclusive, royalty-free perpetual license to install, use, modify, prepare derivative works, incorporate into other computer software, distribute, and sublicense such enhancements or derivative works thereof, in binary and source code form.

Enhancements subject to payment of any applicable Subscription Fees or consultancy or implementation fees, New Releases
Enhancements. Any costs associated with any Enhancement, including any costs related to the recording or expanding of scenes, visual effects, or other elements in the Film that are not reflected in the Screenplay, Budget, and Schedule, unless Completion Guarantor consents in writing that such Enhancement will be covered by this Agreement and has received payment in full of the additional guaranty fee required by Completion Guarantor therefor if any.
