Common use of ENTIRE AGREEMENT AND BINDING EFFECT Clause in Contracts

ENTIRE AGREEMENT AND BINDING EFFECT. This Agreement contains the entire agreement of the parties with respect to the subject matter hereof, shall be binding upon and inure to the benefit of the parties hereto and their respective legal representatives, heirs, distributors, successors and assigns. Notwithstanding the foregoing, all prior agreements between Employee and the Company relating to the confidentiality of information, trade secrets, patents and stock options shall not be affected by this Agreement.

ENTIRE AGREEMENT AND BINDING EFFECT. This Agreement contains the entire agreement of the parties with respect to the subject matter hereof, hereof and shall be binding upon and inure to the benefit of the parties hereto and their respective legal representatives, heirs, distributors, successors and assigns. Notwithstanding the foregoing, all any prior agreements between Employee Executive and the Company relating to the confidentiality of information, trade secrets, patents patents, indemnification, and stock options shall not be affected by this Agreement.

Notwithstanding Any proposed purchaser or transferee of all or substantially all the foregoing, all prior agreements between Employee and stock or assets of the Company relating shall be required, as a condition to any such purchase or transfer, to agree to be substituted for the confidentiality Company hereunder and to be bound by the terms and conditions of informationthe Company hereunder, trade secrets, patents and stock options shall not be affected by this Agreementas if originally a party hereto.

Notwithstanding the foregoing, all prior agreements agreements, if any, between Employee Executive and the Company relating to the confidentiality of information, trade secrets, secrets and patents and stock options shall not be affected by this Agreement.
