Entire Agreement and Conflicts. Except as modified herein, there are no changes to the Agreement, and the Agreement as herein modified, remains in full force and effect. In the event of a conflict between the Agreement and this First Amendment, the terms of this First Amendment shall control.
Entire Agreement and Conflicts. This Agreement is intended by the parties hereto to be final expression of this Agreement, and it constitutes the full and entire understanding between the parties with respect to the subject hereof, notwithstanding any representations, statements, or agreements to the contrary heretofore made. In the event of a conflict between this Agreement, the RFP and the CONTRACTOR’s bid proposal, this Agreement shall govern, then the RFP, and then the bid proposal.

This ESMA, Order Forms, and any exhibits, attachments, or addendums thereto set forth the entire agreement and understanding of the parties relating to the subject matter of this ESMA, and supersede all prior or contemporaneous agreements, proposals, negotiations, conversations, discussions and understandings, written or oral, with respect to such subject matter and all past dealing or industry custom. This ESMA and Order Forms hereunder will prevail over any additional, conflicting or inconsistent terms and conditions which may appear on any purchase order furnished by Customer, and any additional terms and conditions in any such purchase order will have no force or effect, notwithstanding Cloudera’s acceptance or execution of such purchase order. In the event of a conflict between the terms of any Order Form with the terms of this ESMA, the terms of the Order Form will control, but (a) only with respect to the specific Cloudera Product(s) or Services purchased under such Order Form, and (b) only if the Order Form specifically references the conflicting provisions(s) of this ESMA with the intention to supersede such provision(s).
Entire Agreement and Conflicts. This Agreement and the other Loan Documents constitute the whole and entire agreement between the Credit Parties and the Lender and cancels and supersedes any prior agreements, undertakings, declarations, commitments, representations, written or oral, in respect thereof. In the event of a conflict between the provisions of this Agreement and the provisions of any other Loan Document, then, unless such Loan Document or an acknowledgement from the Credit Party and the Lender relative to such Loan Document expressly states that this Section 1.08 is not applicable to such Loan Document, notwithstanding anything else contained in such other Loan Document, the provisions of this Agreement will prevail and the provisions of such other Loan Document will be deemed to be amended to the extent necessary to eliminate such conflict.
Entire Agreement and Conflicts. This Agreement represents the entire agreement between the Parties with respect to the subject matter contained herein. Each Party acknowledges that there are no other agreements or representations between the Parties relating to the subject matter contained herein, either oral or written, express or implied, that are not embodied in this Agreement, and this Agreement represents a complete integration of all the prior agreements, understandings and documents between the Parties in connection with the subject matter contained herein.
Entire Agreement and Conflicts. The Plan, this Agreement, and any employment agreement between Optionee and Company constitute the entire agreement between the parties with respect to the subject matter hereof and supersede and replaces in their entirety all prior understanding, undertakings, discussions, and agreements, written or oral, between Company and Optionee hereto pertaining to the subject matter hereof. If a conflict arises between this Agreement and the Plan, the terms and conditions of the Plan shall govern. If a conflict arises between this Agreement and any employment agreement between Company and Optionee, the terms and conditions of the employment agreement between Company and Optionee shall govern.
Entire Agreement and Conflicts. This Agreement constitutes the entire agreement between the parties with respect to the subject matter of this Agreement and other than the Notes and the Private Placement Purchase Agreement, there are no other collateral agreements or representations made in connection with this Agreement other than as referred to herein. If any term of this Agreement shall conflict with the terms of the Notes or the Private Placement Purchase Agreement, the terms of this Agreement shall prevail and govern to the extent of such conflict.
