Entire Agreement and Effectiveness. Effective as of the Effective Date, this Agreement embodies the complete agreement and understanding among the Parties hereto with respect to the subject matter hereof and supersedes and preempts any prior understandings, agreements or representations by or among the Parties, written or oral, which may have related to the subject matter hereof in any way (excluding any stock options or awards granted under any equity compensation plans maintained by the Company).
Entire Agreement and Effectiveness. This Agreement embodies the complete agreement and understanding among the parties hereto with respect to the subject matter hereof and supersede and preempt any prior understandings, agreements or representations by or among the parties, written or oral, which may have related to the subject matter hereof in any way.

Executive hereby acknowledges and agrees that the Prior Employment Agreement shall terminate as of immediately prior to the Effective Date, Executive shall have no further rights thereunder and the Companies shall have no further obligations thereunder. Effective as of the Effective Date, this Agreement embodies the complete agreement and understanding among the Parties hereto with respect to the subject matter hereof and supersedes and preempts any prior understandings, agreements or representations by or among the Parties, written or oral, which may have related to the subject matter hereof in any way (including, without limitation, any other employment, severance or change-in-control agreement or understanding but excluding the Management Investor Rights Agreement dated October 17, 2005 and any stock options or equity awards granted under any equity compensation plans maintained by the Company).
Entire Agreement and Effectiveness. This Agreement embodies the complete agreement and understanding among the parties hereto with respect to the grant of Restricted Shares to the Grantee as contemplated in the Bonus Agreement, dated as of the Grant Date, by and among the Company, Greenlight Capital Re, Ltd. and the Grantee and supersedes and preempts any prior understandings, agreements or representations by or among the parties, written or oral, which may have related to the subject matter hereof in any way. 23.
Entire Agreement and Effectiveness. This Agreement embodies the complete agreement and understanding among the parties hereto with respect to the grant of Restricted Shares to the Grantee in 2018 as contemplated in the Employment Agreement and supersedes and preempts any prior understandings, agreements or representations by or among the parties, written or oral, which may have related to the subject matter hereof in any way, including, without limitation, the Employment Agreement.
Entire Agreement and Effectiveness. This Agreement, including Exhibit A, sets forth the entire agreement of the Parties hereto in respect of the subject matter contained herein and supersedes all prior agreements, promises, covenants, arrangements, communications, representations or warranties, whether oral or written, by any officer, employee or representative of any Party hereto in respect of such subject matter. 16.

This Agreement embodies the complete agreement and understanding among the Parties hereto with respect to the subject matter hereof and supersedes and preempts any prior understandings, agreements, or representations by or among the Parties, written or oral, which may have related to the subject matter hereof in any way; provided, however, that any other restrictive covenants, including but not limited to, any non-disclosure, work product, legal process, return of company property, non-competition, non-solicitation, non-disparagement, non-publicity, cooperation, injunctive relief, or arbitration covenant that Executive has agreed to as part of any other agreement with any of the Company Entities shall continue on in full force and effect.

Effective as of the Commencement Date, this Agreement embodies the complete agreement and understanding among the Parties hereto with respect to the subject matter hereof and supersedes and preempts any prior understandings, agreements or representations by or among the Parties, written or oral, which may have related to the subject matter hereof in any way.

Effective as of the Effective Date, this Agreement and the Restrictive Covenant Agreement embody the complete agreement and understanding among the Parties hereto with respect to the subject matter hereof and supersede and preempt any prior understandings, agreements or representations by or among the Parties, written or oral, which may have related to the subject matter hereof in any way, including without limitation the Prior Agreement.

Effective as of the Effective Date, this Agreement embodies the complete agreement and understanding among the Parties hereto with respect to the subject matter hereof and supersedes and preempts any prior understandings, agreements or representations by or among the Parties, written or oral, which may have related to the subject matter hereof in any way (including, without limitation, the employment agreement between Executive and xxxxxxxxxx.xxx, inc., dated April 15, 2005 (as amended), the Noncompetition and Non-Solicitation Agreement between Executive and Xxxxxxxxxx.xxx, Inc. dated April 15, 2005 and any similar services or restrictive covenant agreement with xxxxxxxxxx.xxx, inc. or its affiliates or their predecessors, but excluding the Xxxxxxxxx Investor Rights Agreement, dated on or about the date hereof, the Securityholder Rights Agreement by and among the Company and certain other parties listed thereon, dated on or about the date hereof, and the Call Agreement by and among Affinion Group Holdings, Inc., the Xxxxxxxxx Family Trust A Dated June 25, 1999 and certain other parties listed thereon, dated on or about the date hereof).
