Entire and Complete Agreement. This AGREEMENT constitutes the entire and complete final agreement between the Parties relating to the subject matter hereof, and all previous agreements, discussions, communications and correspondences with respect to the subject matter hereof are superseded by the execution of this AGREEMENT.
Entire and Complete Agreement. This Agreement, including any referenced attachments, and any other documents incorporated by reference therein, shall constitute the complete agreement between Seller and Purchaser relating to the Facility, superseding all prior agreements or undertakings. Any exceptions or additional terms are hereby rejected unless specifically agreed to in writing by Xxxxxx and Purchaser. No course of prior dealing or performance between Seller and Purchaser or usage of trade shall be relevant to supplement, explain, interpret or modify any term, condition or instruction used in this Agreement.

This agreement unless provided herein to the contrary, may be modified only by written agreement duly executed by the parties with the same formality of this agreement.

The contract documents are those documents described in Schedule I and constitute the entire and complete Agreement of the Parties with respect to its subject matter and supersedes all prior or contemporaneous understandings, arrangements, commitments and representations, all of which, whether oral or written, are merged into this Agreement. The Schedules to this Agreement are an integral part of this Agreement and shall be afforded full force and effect as though incorporated in their entirety in the Articles of this Agreement. In the event of a conflict among these contract documents, the Service Agreement shall prevail over the RFP and Addenda. The RFP and Addenda shall prevail over the Company’s Proposals. All price and payment obligations and rights thereof for the Services are described in Article III of this Agreement.

Entire and Complete Agreement. This Agreement constitutes the entire and complete understanding and final expression of the parties with respect to the subject matter it contains, and supersedes all prior or contemporaneous agreements, understandings, arrangements, commitments and representations, whether oral or written, including but not limited to: 1) the Original Agreement, 2) the 1st A&R Agreement, and the 2nd A&R Agreement. No provision of this Agreement may be changed, modified or waived except by written instrument signed by both parties. Contractor shall promptly bring to County's attention for decision and mutual revision any material omissions from this Agreement. Contractor shall obtain written instructions from County before proceeding with services affected by any such omissions in this Agreement.
