Common use of Entire and Complete Agreement Clause in Contracts

Entire and Complete Agreement. This Agreement, including any referenced attachments, and any other documents incorporated by reference therein, shall constitute the complete agreement between Seller and Purchaser relating to the Facility, superseding all prior agreements or undertakings. Any exceptions or additional terms are hereby rejected unless specifically agreed to in writing by Xxxxxx and Purchaser. No course of prior dealing or performance between Seller and Purchaser or usage of trade shall be relevant to supplement, explain, interpret or modify any term, condition or instruction used in this Agreement.
