Entire Business. There are no material facilities, services, assets or properties shared with any entity other than the Group Company which are used in connection with the business of the Domestic Company.
Entire Business. No Group Company shares or provides any facilities, operational services, assets or properties with or to any other entity which is not a Group Company.

Except as set forth in SCHEDULE 4.1(Q), the NBC Multimedia Assets and the Videoseeker Assets, including the License Agreement, will enable Xenon 2 to conduct the NBC Multimedia Businesses after the Effective Time in substantially the same manner as they are currently being conducted.

The assets, properties and rights which will be owned or leased by the Company or the Subsidiary as of the Closing Date will constitute all of the tangible and intangible property used by and necessary to the Company in connection with the conduct of its businesses as now conducted.
