Common use of Entire Understanding; Amendment Clause in Contracts

Entire Understanding; Amendment. This Agreement, including all Exhibits and Schedules hereto, and the other agreements and instruments referenced herein and delivered in connection herewith, represent the entire understanding of the Parties hereto with respect to the subject matter hereof and supersede all prior and contemporaneous negotiations, understandings and agreements, written or oral, among the Parties hereto with respect to the subject matter hereof, all of which prior agreements are hereby rendered null and void. This Agreement may not be amended or modified except by a writing executed by all of the Parties hereto.

Entire Understanding; Amendment. This AgreementAgreement (including documents, including all Exhibits and Schedules heretoagreements, schedules, and the other agreements and instruments referenced herein and delivered in connection herewith, represent exhibits referred to herein) constitutes the entire understanding of between the Parties hereto with respect to the subject matter hereof and supersede (except where other agreements have been incorporated herein by reference) supersedes all prior and contemporaneous negotiations, agreements or understandings and agreements, written or oral, among the Parties hereto with respect relating to the subject matter hereof, all of which prior agreements are hereby rendered null and void. This Agreement may not only be amended or modified except by a writing executed written instrument signed by all of the Parties hereto.
