Environmental Records. The Company and its Subsidiary have made available to Parent all records in the Company’s or its Subsidiary’s possession, custody or control concerning the Hazardous Materials Activities of the Company and its Subsidiary relating to its business, including any environmental audits and environmental assessments.
Environmental Records. (a) The General Contractor shall maintain copies of all documents, reports, plans, figures, analytical data sets, inspections, emission results, procedures and any other relevant records (including approvals, authorizations and permits) in connection with the project and the performance of the work relating to environmental matters.
(b) The General Contractor shall obtain the authorization of the University’s Representative for environmental matters (see following section 2.1) prior to provide any type of documents or information to any Environmental Authority or other stakeholder in connection with the project and the performance of the work relating to environmental matters.
(c) Upon request, the General Contractor shall promptly forward to the University’s Representative for environmental matters a copy of any report, submission, application or other document that is produced or otherwise obtained relating to environmental matters affecting the work, the Site or any aspect of the project.
Environmental Records. For a period of ten years after the Closing Date, Buyer shall not cause or permit the destruction or disposal of environmental records regarding the Acquired Assets or the EMG Real Property relating to periods prior to the Closing Date without first offering to surrender them to Sellers, and Buyer shall allow Sellers and their representatives access to such records during regular business hours.
Environmental Records. Seller agrees to make available to Purchaser for copying by Purchaser at Purchaser’s expense, all environmental compliance records created during the five (5) years prior to the date of execution of this Agreement to the extent that such records relate to the Location and are then in Seller’s possession. Purchaser shall be required to schedule an appointment during normal business hours upon not less than three (3) days prior written notice to Seller. The obligations of Seller under this Section 11.5 shall survive the Closing.
Environmental Records. The Company has delivered to Komag or made available for inspections by Komag all records pertaining to the Pre-Closing Hazardous Materials Activities associated with the Acquired Assets, the Media Business or any Media Business Facility and all draft or final non-privileged environmental audits and environmental assessments relating to the Media Business or of any Media Business Facility conducted at the request of, or otherwise in the possession or control of the Company.
Environmental Records. The Company has delivered to Parent or made available for inspection by Parent and its agents, representatives and employees all records in the Company’s possession concerning the Hazardous Materials Activities of the Company relating to its business and all environmental audits and environmental assessments of any Company Facility currently or previously owned, leased, occupied, or controlled by the Company, conducted at the request of, or otherwise in the possession of the Company.
Environmental Records. All Phase One / Phase Two Environmental Assessments for the Properties, asbestos audits of the Properties, environmental reports related to the Properties; and any notices from or to any governmental authority regarding hazardous materials on or relating to the Properties;
Environmental Records. Except as disclosed on Schedule 8.18, the Seller has disclosed and made available to the Buyer true, complete, and correct copies or results of any reports, studies, analyses, tests, monitoring, correspondence with governmental agencies, or other documents in the possession of or initiated by the Seller or otherwise known to the Seller and pertaining to the existence of Hazardous Substances, to compliance with Environmental Laws, or to any other environmental concern relating to the Assets or the Seller's business.
Environmental Records. Tax credits and Tax refunds related to the Company Business, including Delphi’s Michigan MEGA tax credit entitlements and any property tax refunds related to the Company Business, as well as any other Tax credit or refund not covered by Sections 2.1.3.K or 2.1.5.G; T. 50% of the net proceeds from the Delphi FICA Litigation; and U. Wage escrow accounts applicable to Transferred U.S. Hourly Employees who are PRPs at the sites included in the Company Acquired Assets.
