Equipment Covenants. With respect to the Equipment: (a) Borrower will, and will cause each Subsidiary to, keep all of the Equipment that is useful and necessary in its business in good working order and condition (ordinary wear and tear excepted), (b) Borrower will, and will cause each Subsidiary to, maintain or cause to be maintained with responsible insurance companies such insurance coverage with respect to its properties and business against such casualties and contingencies and of such types and in such amounts as is customary in the case of similar businesses and will, upon request of Lender, furnish to Lender at reasonable intervals a certificate of an authorized officer on behalf of Borrower setting forth the nature and extent of all insurance maintained by Borrower and its Subsidiaries in accordance with this Section 7.4 and Section 9.5 hereof; and (c) Borrower shall not sell or remove any Equipment from the locations set forth or permitted herein, which sale or removal would have a material adverse affect on the manufacturing operations of Borrower.
Equipment Covenants. Borrower shall cause the Equipment to be maintained and preserved in the same condition, repair and working order as when new, ordinary wear and tear excepted, and in accordance with any manufacturer's manual, and shall promptly make or cause to be made all repairs, replacements, and other improvements in connection therewith that are necessary or desirable to such end.

Without limiting the provisions of Section 7.4(d) above, Borrower shall not relocate any of its Equipment to any location outside of the United States, other than the manufacturing facilities of Borrower's subsidiary in Reynosa, Mexico; provided, however, that: (w) no such relocation to such facilities in Reynosa, Mexico shall be permitted unless Lender has received not less than twenty (20) days prior written notice stating that such relocation notice is being given under Section 7.4(d) of this Agreement and identifying, with make, model, serial number and other identifying information, the Equipment proposed to be relocated, (x) upon or at any time after receipt of each such relocation notice, Lender shall be entitled to reduce the Amortized Equipment Value of Borrower's Equipment by the product obtained by multiplying (1) seventy-five (75%) percent of the orderly liquidation value of the Equipment to be relocated identified in such n...
