Equipment Lease Agreement. At the Stage One Closing Date, the parties shall execute a standard form equipment lease to cover ZAP's lease of the Rental Equipment. The lease shall be in substantially the form of the attached Exhibit B.

In the event that OAH terminates the Equipment Lease Agreement due to Odyssey’s failure to fulfill timely make any Rent or Operation Exercise Price payments and does not transfer good and marketable title to the Equipment (as defined in the Equipment Lease Agreement) to Retriever upon such termination, then all of the Initial Purchased Units issued by OML to the Purchaser at the Initial Closing in respect of the Purchaser’s transfer to OML of its equity interests in Retriever, shall be automatically redeemed by OML upon written notice with no payment required therefor by OML. In addition, Odyssey and Purchaser will jointly and severally indemnify, defend, and hold harmless OML from and against any liabilities, claims, losses, or expenses arising from any liabilities or obligations of Retriever or relating thereto to the extent such liabilities arise from facts or circumstances existing prior to the Initial Closing.

Equipment Lease Agreement. 11.5 Except as otherwise provided by the laws, either party’s failure or delay of exercise of any right under this Agreement does not constitute a waiver of any right. Exercising any right solely or partly shall not encumber the exercise of any other right, power or privilege.
