Equipment Sale. Warranty for any equipment sold pursuant to this Agreement will be set forth in Equipment Purchase Addendum.

Equipment Sale. Assignor and Assignee are in discussions for the sale by Assignor and the purchase by Assignee of the equipment listed on Exhibit D (collectively, the “Sale Equipment”). Any such purchase and sale shall be made, if at all, pursuant to a separate agreement. Either party may terminate negotiations for such purchase and sale at any time for any reason or for no reason. If both parties in their sole discretion enter into such purchase and sale of the Sale Equipment, then Assignor shall leave the Sale Equipment in the Premises but shall otherwise remove any unpurchased Sale Equipment prior to delivery. For the avoidance of doubt, the Agilent Bravo96 shall not be included in the Sale Equipment, and Assignor shall remove the same prior to the Effective Date and as a condition to the occurrence thereof.
Equipment Sale. Upon Aerogen’s receipt of the payments owed in Section 5.1, Aerogen sells and assigns to MIA Aerogen’s entire right, title and interest in the equipment listed in Exhibit E (the “Equipment”). During the OnQ Manufacturing Period, the Equipment will continue to be housed at the OnQ Aerosol Generator Manufacturing Facility. Upon the Effective Date, MIA shall have the right to assume full authority over the manufacturing of the OnQ Aerosol Generator at the OnQ Aerosol Generator Manufacturing Facility in the event of Aerogen’s non-performance under Section 3.8(d) that results in a failure to satisfy MIA’s requirements for quantities of OnQ Aerosol Generators set forth in the forecasts and purchase orders provided by MIA in accordance with Sections 4.1 and 4.2, until expiration of the OnQ Manufacturing Period, including the authority to direct Aerogen as to the operational objectives to be achieved by the key manufacturing personnel to be provided by Aerogen pursuant to Section 3.8(d), but subject to Section 3.8(e). During the OnQ Manufacturing Period, MIA shall obtain and maintain all-risk insurance coverage with respect to the Equipment insuring against, among other things: casualty, including loss or damage due to fire and the risks normally included in extended coverage, malicious mischief and vandalism, for not less than the full replacement value of said Equipment.
Equipment Sale. No Employer shall sell any trucks, tractors, or trailers to any of its employees except for personal use and/or in another industry.

Equipment Sale. LaserCard agrees to sell to GIG, and GIG agrees to purchase from LaserCard, on the terms and conditions set forth in this Agreement, the coater/laminator system listed on Exhibit A (the "Equipment"). GIG acknowledges and agrees that LaserCard originally ordered the Equipment from the manufacturer of the Equipment ("Manufacturer") for LaserCard's use as LaserCard's next generation production system. Consequently, LaserCard needs to order a replacement of the system ("Replacement System") from the Manufacturer, with an estimated delivery date nine to eleven months following the date of LaserCard's order. GIG acknowledges and agrees that LaserCard may use the Equipment prior to LaserCard's receipt of the Replacement System. The Equipment is scheduled to be delivered by Manufacturer to LaserCard in ________________, 2004. The parties anticipate that the Equipment will be shipped from LaserCard's facilities in Mountain View, California, to GIG Facilities (as defined in Section 2.3 below) within 10 months from LaserCard's receipt of the Second Payment (as defined in Exhibit C).
Equipment Sale. (a) Under the terms of the Purchase Agreement, Buyer has agreed to use good faith efforts to sell all of the Brewing and Bottling Equipment (as identified on Exhibit A) (such sale, the "Equipment Sale") within 180 days of the Closing (such date, the "Outside Date"). (b) Buyer will discuss with Seller, and keep Seller reasonably apprised of, the terms and conditions of any sale of all or any portion of the Brewing and Bottling Equipment and within a reasonable period of each such sale furnish to Seller a record of sales made by it or its sales agent.

Equipment Sale. Xxxxx shall transfer the equipment listed in Schedule A of the Equipment Transfer Agreement to ArcSoft in accordance with the terms and conditions set forth in the Equipment Transfer Agreement.
Equipment Sale. 6.1. The price for the Sale of the Equipment is payable by the Client prior to the Equipment leaving the Supplier’s Premises. 6.2. If delivery and collection by the Supplier has been agreed, the Client shall ensure free access to the delivery site by the Supplier. In the event of any delays due to free access being unavailable the Client shall reimburse the Supplier for all associated lost Hire fees. The Client shall also be responsible for any other expenses and costs incurred by the Supplier related to delays in access to the delivery site including time incurred by the Suppliers employees and contractors during delivery. The risk of Equipment security is transferred to the Client from the time the Equipment leaves the Suppliers Premises.
