Establishment of Lumentum Non-U.S. Retirement Plans. Lumentum shall, or shall cause its relevant Subsidiary to, establish one (1) or more Non-U.S. Retirement Plans, provided that Lumentum may limit participation in such plans to those Lumentum Group Employees who participated in the corresponding JDSU Non-U.S. Retirement Plans immediately prior to the Transfer Date.
