Ethical Business Practice. Contractor hereby represents and warrants that the employees, temporary workers, agents, consultants, partners, officers, directors, members or representatives of Contractor and its subcontractors, if any, performing Services or other activities under this Agreement (each and any of the foregoing individuals, for the purpose of this clause, a “Contractor Representative”) shall comply with the US Foreign Corrupt Practices Act and all applicable anticorruption laws. Contractor Representatives shall not directly or indirectly pay, offer, give, promise to pay or authorize the payment of, any portion of the compensation received in connection with this Agreement or any other monies or other things of value in connection with its performance to a Government Official, defined below, to obtain or retain business or secure any improper advantage nor shall it permit such actions by a third party in connection with this Agreement. Government Official means (i) an officer or employee of any government or any department, agency, or instrumentality thereof, including government-owned or government-controlled commercial entities; (ii) an officer or employee of a public international organization; (iii) any person acting in an official capacity for or on behalf of any government or department, agency, or instrumentality or public international organization; (iv) any political party or official thereof; (v) any candidate for political office; or (vi) any other person, individual or entity at the suggestion, request or direction or for the benefit of any of the above-described persons or entities.

Ethical Business Practice. We do not tolerate unethical behaviour either in our own activities or in those with whom we seek to do business. We will comply with all applicable laws, rules, regulations, and accounting standards. In some cases, we use the services of an Underwriting Agents and Wholesale Brokers (insurance intermediary) to access products that are not available to us directly from the underwriter. You can identify where we have used an insurance intermediary as the Invoice/schedule will show that the policy is placed via another Insurance Intermediary. This situation usually arises where the insurance intermediary has developed a specialised product and competitive pricing for risks that are not commonly available directly but via the insurance intermediary. All insurance intermediaries that we deal with in New Zealand are required to hold a New Zealand Financial Advice Providers licence and to place all client funds received into a Trust Account and are required to meet the same high standards in the delivery of the services that apply to us. Importantly all claims will be the ultimate responsibility of and paid for by the insurer. In such cases should you wish to access the Financial Advice Disclosure of the Underwriting Agency or Broker please contact us and we will arrange to have a copy sent out to you.

This Section 4.21 shall not apply to: (i) any reasonable and bona fide expenditure directly related to the promotion, demonstration, or explanation of products or services or to the execution or performance of a Contract with a Government Authority or public international organization; (ii) any payment or gift that would not be prohibited by the laws and regulations of the recipient’s country; or (iii) any facilitating or expediting payment the purpose of which is to expedite or secure the performance of a routine governmental action.
Ethical Business Practice. Neither the Company or any other Group Company nor any of their respective officers, directors, agents and employees shall make any offer of payment or give anything of value to a Government Official for the purpose of influencing an act or decision in his official capacity, or inducing such Government Official to do or omit to do any act in violation of his lawful duty or inducing such official to use his influence with a government or political party, to influence any act or decision of such government or political party, in order to assist the Company or any other Group Company in obtaining or retaining business for or with, or directing business to the Company or any other Group Company.

Ethical Business Practice. The Supplier hereby confirms that it is aware that BMW's corporate policy demands that BMW and its business relationships comply with all applicable laws. By entering into the Agreement, the Supplier agrees to carry out all undertakings in a manner that complies with both law and good business ethics. The Supplier guarantees that no one in its organization holds a position that would risk violation of ethical business practice. The Supplier also guarantees that no one in its organization will make payments to public officials or any other party in position to affect decisions and actions significant to the delivery of the Goods or any other aspect of BMW's business. The Supplier confirms that no employee of the BMW or its affiliates will be authorized to provide instructions – verbal or written – related to any undertaking on the part of the Supplier or its agent to a third party in violation of the provisions of this or any other part of the Agreement. All business transactions related to the Agreement must be correctly reported in the Supplier's account books and files. Failure of the Supplier to comply with the provisions of this section will be considered a severe breach of contract. BMW endeavors to hold itself and its suppliers to the highest ethical and compliance standards, including basic human rights, encouraging fair and equal treatment for all persons, the provision of safe and healthy working conditions, respect for the environment, the adoption of appropriate management systems and the conduct of business in an ethical manner. In performing its duties under the Agreement, Supplier acknowledges the value and importance of ethical behaviour in its performance under the Agreement.
Ethical Business Practice. Customer and Supplier, respectively, acknowledge that each of its employees is required to maintain the highest standards of honesty, integrity and trustworthiness. In particular, reference is made to the “Monro Muffler Brake, Inc. Code of Ethics,” which may be found online at xxxx://xxx.xxxxx.xxx/Corporate/Corporate-Governance and which applies to all employees of Customer. As such, both Parties affirm that they will conduct themselves, with respect to this Agreement, in accordance with these standards.
Ethical Business Practice. Through an adherence to the provisions of CUSTOMER’S “Code of Ethics” and the “Business Responsibilities of an Ashland Employee”, all employees of Customer and ACM, respectively, are required to maintain the highest standards of honesty, integrity and trustworthiness.
