Ex-gratia Payments Sample Clauses
An Ex-gratia Payments clause defines the circumstances under which a party may make payments that are not legally required or owed under the contract. Typically, this clause clarifies that such payments are made voluntarily, without admitting liability or setting a precedent for future obligations. Its core function is to allow flexibility for goodwill gestures or settlements while protecting the paying party from future claims or expectations based on these discretionary payments.
