Examination Reports. The Seller Parties have furnished or will furnish to the Buyer true and correct copies of the latest examination report of the Oklahoma Insurance Department and copies of all independent audit reports of the Company. The Seller Parties will allow the Buyer access to complete and correct copies of all registrations, filings and submissions made by the Company with any Governmental Authority, which are reasonably required for the conduct of the Company’s business after the Closing and any reports of examinations issued by any such Governmental Authority that relate to the Company.
Examination Reports. The Company will provide or make available to Parent, to the extent permitted by applicable Law, true and complete copies of all material examination reports (and the Company will notify Parent of any pending material examinations, if any exist) of any Insurance Regulators relating to the Company Insurance Subsidiaries received by the Company after the date of this Agreement through the Closing Date. Parent will provide or make available to the Company, to the extent permitted by applicable Law, true and complete copies of all material examination reports (and Parent will notify the Company of any pending material examinations) of the Group Supervisor relating to Parent and the Parent Insurance Subsidiaries regulated by the Group Supervisor received by Parent after the date of this Agreement through the Closing Date.

Examination Reports. Neither Steelton nor any of the Steelton Subsidiaries is subject to any cease and desist order, written agreement or memorandum of understanding with, or is a party to any commitment letter or similar undertaking to, or is subject to any order or directive by, or is a recipient of any extraordinary supervisory letter from, or has adopted any board resolutions since January 1, 2000, providing for the taking of corrective measures at the request of or as mandated by federal or state governmental authorities charged with the supervision or regulation of savings and loan associations or savings and loan holding companies or engaged in the insurance of savings deposits (collectively "Thrift Regulators" and individually "Thrift Regulator"), nor has it been advised by any Thrift Regulator that it is contemplating issuing or requesting (or is considering the appropriateness of issuing or requesting) any such order, directive, written agreement, memorandum of understanding, extraordinary supervisory letter, commitment letter, board resolutions (of the type described above) or similar undertaking.
Examination Reports. (a) Physician agrees and acknowledges that Physician is solely responsible for evaluations, conclusions and narrative material set forth in any Report created pursuant to this Agreement; and that Physician functions as an independent professional making all determinations and assessments in accordance with Physician’s own medical judgment and expertise. (b) Notwithstanding the foregoing, it during an examination of an Examinee, Physician should discover a condition that is life-threatening or poses a serious threat to health, Physician shall advise the Examinee to promptly seek examination by a licensed medical professional and/or facility for the condition discovered and shall follow up with the Examinee to ensure that he or she has sought appropriate medical care and treatment concerning the condition so discovered. Nothing stated herein shall be construed to create a physician-patient relationship. (c) Physician will promptly, and within the timelines described on Schedule B attached hereto, complete and forward to CFO all required Reports, so that CFO may provide such Reports, on Physician’s behalf, to the Client(s), (d) CFO shall provide Physician with general training, instruction and education concerning the form, elements, scope and other aspects of the Reports which the Clients require of Physician hereunder. Nothing in this section however, shall be construed to obligate or CFO to prepare, modify, alter or otherwise influence the content of an individual Report or otherwise affect the Physician’s independent professional opinion, evaluation or examination of a patient referred to Physician by a Client or by CFO on behalf of a Client.
Examination Reports. Seller will cause the Company to deliver to Purchaser the market conduct and tri-annual financial reports during the past three years reflecting the result of the examination of the affairs of the Company by any applicable Governmental Authority, including all material correspondence, memoranda, and other documents relating to the current examination being conducted by the Texas Department of Insurance.
Examination Reports. AVEMCO has delivered to HCCH copies of the most recent examination reports, including related management letters, of each of the AVEMCO Insurer Subsidiaries conducted by any state insurance department examiners, and reflecting the results of the most recent examinations of the affairs of such AVEMCO Insurer Subsidiaries, and will furnish promptly to HCCH any additional such reports or drafts of such reports received by AVEMCO or any AVEMCO Insurer Subsidiary prior to Closing. All material deficiencies or violations noted in such examination reports for the periods examined have either been resolved or are being resolved to the satisfaction of or accepted by the insurance regulatory authorities of the states conducting such examinations, without any enforcement action taken against any such AVEMCO Insurer Subsidiary. There are no examinations by any state insurance department examiners in progress at any AVEMCO Insurer Subsidiary, nor, to the knowledge of AVEMCO, pending or scheduled with respect to any AVEMCO Insurer Subsidiary.
Examination Reports. Borrower will deliver to Lender or cause to be delivered to Lender, and each Subsidiary will deliver to Lender, as soon as available and in any event within thirty (30) days after receipt by Borrower or any Subsidiary, a copy of each examination report on Borrower or any Subsidiary and all correspondence from any banking regulatory agency reflecting negatively on Borrower or any Subsidiary.

Examination Reports. The Provider shall give the youth’s case manager a copy of any reports of all physical, dental, psychological or psychiatric examinations of the youth that are conducted while under the care of the Provider.
