Exchange Rights Agreement. Exchange Rights Agreement. The Limited Partners have been granted the right, but not the obligation, to exchange all or a portion of their OP Units for cash or at the option of the Company, for shares of REIT Stock on the terms and subject to the conditions and restrictions contained in those certain Exchange Rights Agreements among the Company and the particular Limited Partners (as amended from time to time, the "Exchange Rights Agreements").
Exchange Rights Agreement. (b) The Limited Partners and all successors, assignees and transferees (whether by operation of law, including by merger or consolidation, dissolution or liquidation of an entity that is a Limited Partner, or otherwise) shall be bound by the provisions of the Exchange Rights Agreement.
