Exclusive Independent Contractor. The Service Provider is an independent contractor, and for the consideration agreed upon herein, agrees to provide the services identified in Section 3, above, on an exclusive basis to AmericaTowne. AmericaTowne shall cooperate with the Service Provider in providing the Service Provider with sufficient and confidential information and knowledge of AmericaTowne’s business in order for the Service Provider to perform under this Agreement. AmericaTowne agrees to be responsible for all costs necessary in providing this information and knowledge to the Service Provider. The Service Provider has the sole right to control and direct the means, manner, and method by which the services required by this Agreement will be performed. The Service Provider has the right to perform the services required by this Agreement at any place or location and at such times as the Service Provider may determine. The Service Provider has the right to hire assistants as subcontractors or to use employees to provide the services required by this Agreement provided that such individuals have no less than six months of experience in providing services contemplated under this Agreement. The Service Provider represents that those subcontractors or employees performing services under this Agreement on behalf of the Service Provider meet The Service Provider’s conditions of employment. The Service Provider, or the Service Provider’s employees or contract personnel shall perform the services required by this Agreement, and AmericaTowne shall not hire, supervise, or pay any assistants to help the Service Provider. Neither the Service Provider nor the Service Provider’s employees or contract personnel shall receive any training from the AmericaTowne in the professional skills necessary to perform the services required by this Agreement, unless otherwise agreed upon by the Parties.

ATI Modular shall cooperate with Yilaime in providing Yilaime with sufficient and confidential information and knowledge of ATI Modular’s business in order for Yilaime to perform under this Agreement. ATI Modular agrees to be responsible for all costs necessary in providing this information and knowledge to Yilaime. Yilaime has the sole right to control and direct the means, manner, and method by which the services required by this Agreement will be performed. Yilaime has the right to perform the services required by this Agreement at any place or location and at such times as Yilaime may determine. Neither the Transactions, nor the termination of the employment of any employees of any of the Acquired Companies prior to or following the consummation of the Transactions could result in any of the Acquired Companies making or being required to make any "excess parachute payment" as that term is defined in Section 280G of the Code. To the knowledge of CTC, each of the Acquired Companies is in full compliance in all material respects with all Laws respecting employment practices. None of the Acquired Companies has ever been a party to or bound by any union, collective bargaining or similar Contract, nor is any such Contract currently in effect or being negotiated by or on behalf of any of the Acquired Companies. Since the respective incorporation or formation dates of each of the Acquired Companies, none of the Acquired Companies has experienced any labor problem that was or is material to it. Except as set forth on Schedule 3.16, each of the Acquired Companies' current and past employees has signed an employee or confidentiality agreement which contains certain restrictive covenants substantially in the form attached to Schedule 3.16. Except as set forth on Schedule 3.16, each of the Acquired Companies' current and past contractors or consultants has signed agreements with the Acquired Companies containing restrictions that protect the proprietary and confidential information of the Acquired Companies and vest in the Acquired Companies the full ownership of items developed by such contractor. Except as indicated on Schedule 3.16, since January 1, 2000, to the knowledge of CTC, no employee of any of the Acquired Companies having an annual salary of $50,000 or more has indicated an intention to terminate or has terminated his or her employment with such company. To the knowledge of CTC, the Transactions will not adversely affect relations with any material employee of the Acquired Companies.

  • Independent Contractor; Authority Notwithstanding the Services provided by the Administrator pursuant to this Agreement, the Administrator shall be deemed to be an independent contractor with respect to the Services. The management, policies and operations of the Parties (including the ultimate approval of the making or disposition of the Painting by the Issuer or Masterworks Cayman, and the terms and conditions thereof) shall be the responsibility of the Parties other than the Administrator.
