Execution of Shareholders Agreement. The Company shall have delivered to the Investors the Shareholders Agreement, duly executed by the Company and all other parties thereto (except for the Investors).
Execution of Shareholders Agreement. At the Closing, the Purchaser shall have executed the Shareholders Agreement.
Execution of Shareholders Agreement. The Employee acknowledges that, in connection with his or her prior or future purchase of Shares of the Company, unless such Shareholders' Agreement is no longer in effect, he or she will execute and deliver the Shareholders' Agreement or a joinder or counterpart signature page thereto. The Employee further agrees that all Shares acquired by such Employee upon exercise of the Option will be subject to the terms and conditions of the Shareholders' Agreement, if then in effect, as modified hereby.
Execution of Shareholders Agreement. The Company shall have delivered to the Series C-3 Purchaser the Shareholders Agreement in the form attached hereto as Exhibit D, duly executed by the Company and all other parties thereto (except for the Series C-3 Purchaser).
Execution of Shareholders Agreement. Purchaser shall have executed a Shareholders' Agreement in substantially the form attached hereto.
Execution of Shareholders Agreement. The Group Companies, the Investor and the Key Shareholders shall have executed and delivered the Shareholders Agreement, in substantially the form attached hereto as Exhibit C.
Execution of Shareholders Agreement. At the Closing, the shareholders of the Company shall have executed and delivered an amended and restated shareholders agreement of the Company, or a new shareholders agreement of the Company that supersedes all existing amended and restated shareholders agreement in respect of the Company substantially in the form attached hereto as Exhibit A (the “Shareholders Agreement”).
Execution of Shareholders Agreement. The Company shall have delivered to each Series C Purchaser the Shareholders Agreement in the form attached hereto as Exhibit E, duly executed by the Company and all other parties thereto (except for the Series C Purchasers).
Execution of Shareholders Agreement. The Company shall have delivered to the Series B Investors a Shareholders Agreement in the form and substance satisfactory to the Series B Investors (the “Shareholders Agreement”), duly executed by the Company and all other parties thereto (except for the Series B Investors).
Execution of Shareholders Agreement. The Company and Weinxxxxx xxxll have executed and delivered the Shareholders' Agreement.
