3.3 The Executive shall not be responsible for the supervision or activities of the Credit Union's internal audit activity.

3.6 The Executive will not be allowed to be a member of the Credit Union's Board of Directors. (If the Executive is permitted to become a director, the Executive shall not be eligible for election as an officer of the Board.) Executive's Responsibilities. During the period of employment hereunder, the Executive shall serve as Senior Vice President and Secretary of the Company, as the Board of Directors may determine from time to time, and shall devote his full time and efforts to the business and affairs of the Company and its affiliates, use his best efforts to promote the business of the Company and its affiliates, and perform such related duties as shall be reasonably incidental or ancillary to the foregoing; provided, however, that at all times the Executive shall be subject to the general direction and authority of the Company's Board of Directors.
