Existing or Pending Defaults; Material Contracts. No Borrower is aware of any pending or threatened litigation, or any other legal or administrative proceeding or investigation pending or threatened, against any VSE Entity arising from or related to any Material Contract.

To the knowledge of the Borrower or any of its Subsidiaries, there is no pending or threatened litigation, or any other legal or administrative proceeding or investigation pending or threatened, against the Borrower or any of its Subsidiaries arising from or related to any Material Contract which could reasonably be expected to have a Material Adverse Effect.

Except as disclosed on Schedule 5.16, no Borrower is aware of any pending or threatened litigation, or any other legal or administrative proceeding or investigation pending or threatened, against any ICF Entity arising from or related to any Material Contract which could reasonably be expected to result in any judgment or liability against any ICF Entity in excess of Twenty Million and No/100 Dollars ($20,000,000.00).

As of the date hereof, all Material Contracts are listed on Schedule 5.21(a) hereto, and all Material Government Contracts (other than Subcontracts) that have a remaining term of twelve (12) months or longer are listed on Schedule 5.21(b) hereto. Neither the Borrower nor any of its Subsidiaries is aware of any pending or threatened litigation, or any other legal or administrative proceeding or investigation pending or threatened, against the Borrower or any of its Subsidiaries arising from or related to any Material Contract which could reasonably be expected to have a Material Adverse Effect.

Except as set forth on Schedule 5.9 attached hereto, no Borrower is aware of any pending or threatened litigation, or any other legal or administrative proceeding or investigation pending or threatened, against any Borrower arising from or related to any Material Contract which could reasonably be expected to have a material adverse effect on (i) the business, condition (financial or otherwise) or results of operations of the Borrowers on a consolidated basis, or (ii) any lien or security interest of the Administrative Agent or any Lender on, in or to any Collateral.

Except as set forth on Schedule 8 attached hereto, no Borrower is aware of any pending or threatened litigation, or any other legal or administrative proceeding or investigation pending or threatened, against any Borrower arising from or related to any Material Contract, or otherwise, which could reasonably be expected to have a material adverse effect on the Lender's rights in connection with such Material Contract or on any Borrower's ability to perform its obligations hereunder or under any of the Loan Documents.
