Existing or Pending Defaults; Material Contracts. Except as set forth on Schedule 3.14 attached hereto, the Borrower is not aware of any condition, act, event or occurrence that would or reasonably could prejudice the Lender’s rights in connection with any Material Contract, including, without limitation, any pending or threatened suspension, debarment or other governmental action or proceeding, any pending or threatened litigation, and any other legal or administrative proceeding or investigation pending or threatened against the Borrower or any of its Subsidiaries in connection with any Material Contract.
