Common use of Experts, Advisers and Agents Clause in Contracts

Experts, Advisers and Agents. The Trustee may: (a) in relation to these presents act and rely on the opinion or advice of or information obtained from any solicitor, attorney, auditor, accountant, appraiser, valuer or other expert, whether retained by the Trustee or by US Gold, Callco and/or Exchangeco or otherwise, and may retain or employ such assistance as may be necessary to the proper determination and discharge of its powers and duties and determination of its rights or duties hereunder and may pay proper and reasonable compensation for all such legal and other advice or assistance as aforesaid; (b) employ such agents and other assistance as it may reasonably require for the proper determination and/or discharge of its powers and duties hereunder; and (c) pay reasonable remuneration for all services performed for it (and shall be entitled to receive reasonable remuneration for all services performed by it) in the discharge of the trusts hereof and compensation for all reasonable disbursements, costs and expenses made or incurred by it in the discharge of its duties hereunder and in the management of the Trust.

Experts, Advisers and Agents. The Trustee may: (a) in relation to these presents act and rely rely, and shall be protected in acting and relying, on the opinion or advice of or information obtained from or prepared by any solicitor, attorney, auditor, accountant, appraiser, valuer valuer, engineer or other expert, whether retained by the Trustee or by US Gold, Callco the Corporation and/or Exchangeco ParentCo or otherwise, and may retain or employ such assistance assistants as may be necessary to the proper determination and discharge of its powers and duties and determination of its rights or duties hereunder and may pay proper and reasonable compensation for all such legal and other advice or assistance as aforesaid;; and (b) employ such agents and other assistance assistants as it may reasonably require for the proper determination and/or and discharge of its powers and duties hereunder; and (c) , and may pay reasonable remuneration for all services performed for it (and shall be entitled to receive reasonable remuneration for all services performed by it) in the discharge of the trusts hereof and compensation for all reasonable disbursements, costs and expenses made or incurred by it in the determination and discharge of its duties hereunder and in the management of the Trust.

The Trustee may: (a) in relation to these presents presents, including without limitation in respect of Section 12.2 and Section 12.5 hereof, act and rely on the opinion or advice of or information obtained from any solicitor, attorneylegal counsel, auditor, accountant, appraiser, valuer valuer, engineer or other expert, whether retained by the Trustee or by US Gold, Callco Parent and/or Exchangeco Canadian Sub or otherwise, and may retain or employ such assistance assistants as may be necessary to the proper determination and discharge of its powers and duties and determination of its rights or duties hereunder and may pay proper and reasonable compensation for all such legal and other advice or assistance as aforesaid;; and (b) retain or employ such agents and other assistance assistants as it may reasonably require for the proper determination and/or and discharge of its powers and duties hereunder; and (c) , and may pay reasonable remuneration for all services performed for it (and shall be entitled to receive reasonable remuneration for all services performed by it) in the discharge of the trusts hereof and compensation for all reasonable disbursements, costs and expenses made or incurred by it in the discharge of its duties hereunder and in the management of the Trust.

The Trustee may: (a) in relation to these presents act and rely on the opinion or advice of or information obtained from any solicitor, attorney, auditor, accountant, appraiser, valuer valuer, engineer or other expert, whether retained by the Trustee or by US GoldStarPoint Energy Trust, Callco ExchangeCo and/or Exchangeco AmalgamationCo or otherwise, and may retain or employ such assistance assistants as may be necessary to the proper determination and discharge of its powers and duties and determination of its rights or duties hereunder and may pay proper and reasonable compensation for all such legal and other advice or assistance as aforesaid;; and (b) employ such agents and other assistance assistants as it may reasonably require for the proper determination and/or and discharge of its powers and duties hereunder; and (c) , and may pay reasonable remuneration for all services performed for it (and shall be entitled to receive reasonable remuneration for all services performed by it) in the discharge of the trusts hereof and compensation for all reasonable disbursements, costs and expenses made or incurred by it in the discharge of its duties hereunder and in the management of the Trust.

The Trustee Custodian may: (a) in relation to these presents act and rely on the opinion or advice of or information obtained from any solicitor, attorney, auditor, accountant, appraiser, valuer evaluator, engineer or other expert, whether retained by the Trustee Custodian or by US Gold, Callco Vivendi and/or Vivendi Exchangeco or otherwise, and may retain or employ such assistance assistants as may be necessary to the proper determination and discharge of its powers and duties and determination of its rights or duties hereunder and may pay proper and reasonable compensation for all such legal and other advice or assistance as aforesaid;; and (b) employ such agents and other assistance assistants as it may reasonably require for the proper determination and/or and discharge of its powers and duties hereunder; and (c) , and may pay reasonable remuneration for all services performed for it (and shall be entitled to receive reasonable remuneration for all services performed by it) in the discharge of the trusts its powers and duties hereof and compensation for all reasonable disbursements, costs and expenses made or incurred by it in the discharge of its duties hereunder and in the management of the Trusthereunder.

The Trustee may: (a) in relation to these presents act and rely on the opinion or advice of or information obtained from any solicitor, attorney, auditor, accountant, appraiser, valuer or other expert, whether retained by the Trustee or by US GoldD-Wave Quantum, Callco CallCo and/or Exchangeco ExchangeCo or otherwise, and may retain or employ such assistance assistants as may be necessary to the proper determination and discharge of its powers and duties and determination of its rights or duties hereunder and may pay proper and reasonable compensation for all such legal and other advice or assistance as aforesaid; (b) employ such agents and other assistance assistants as it may reasonably require for the proper determination and/or and discharge of its powers and duties hereunder; and (c) pay reasonable remuneration for all services performed for it (and shall be entitled to receive reasonable remuneration for all services performed by it) in the discharge of the trusts hereof and compensation for all reasonable disbursements, costs and expenses made or incurred by it in the discharge of its duties hereunder and in the management of the Trust.

The Trustee may: (a) in relation to these presents act and rely on the opinion or advice of or information obtained from any solicitor, attorney, auditor, accountant, appraiser, valuer or other expert, whether retained by the Trustee or by US Gold, Callco Alberta ULC and/or Exchangeco Canadian Exchange Co. or otherwise, and may retain or employ such assistance as may be necessary to the proper determination and discharge of its powers and duties and determination of its rights or duties hereunder and may pay proper and reasonable compensation for all such legal and other advice or assistance as aforesaid; (b) employ such agents and other assistance as it may reasonably require for the proper determination and/or discharge of its powers and duties hereunder; and (c) pay reasonable remuneration for all services performed for it (and shall be entitled to receive reasonable remuneration for all services performed by it) in the discharge of the trusts hereof and compensation for all reasonable disbursements, costs and expenses made or incurred by it in the discharge of its duties hereunder and in the management of the Trust.

The Trustee may: (a) in relation to these presents act and rely on the opinion or advice of or information obtained from or prepared by any solicitor, attorney, auditor, accountant, appraiser, valuer valuer, engineer or other expert, whether retained by the Trustee or by US Goldthe Company, Callco Holdco and/or Exchangeco the Parent or otherwise, and may retain or employ such assistance assistants as may be necessary to the proper determination and discharge of its powers and duties and determination of its rights or duties hereunder and may pay proper and reasonable compensation for all such legal and other advice or assistance as aforesaid;; and (b) employ such agents and other assistance assistants as it may reasonably require for the proper determination and/or and discharge of its powers and duties hereunder; and (c) , and may pay reasonable remuneration for all services performed for it (and shall be entitled to receive reasonable remuneration for all services performed by it) in the discharge of the trusts hereof and compensation for all reasonable disbursements, costs and expenses made or incurred by it in the determination and discharge of its duties hereunder and in the management of the Trust.

The Trustee may: (a) in relation to these this Agreement presents act and rely on the opinion or advice of or information obtained from any solicitor, attorney, auditor, accountant, appraiser, valuer valuer, engineer or other expert, whether retained by the Trustee or by US GoldSpinco, Callco Newco Canada and/or Newco Canada Exchangeco or otherwise, and may retain or employ such assistance assistants as may be necessary to the proper determination and discharge of its powers and duties and determination of its rights or duties hereunder and may pay proper and reasonable compensation for all such legal and other advice or assistance as aforesaid;; and Table of Contents (ba) employ such agents and other assistance assistants as it may reasonably require for the proper determination and/or and discharge of its powers and duties hereunder; and (c) , and may pay reasonable remuneration for all services performed for it (and shall be entitled to receive reasonable remuneration for all services performed by it) in the discharge of the trusts hereof and compensation for all reasonable disbursements, costs and expenses made or incurred by it in the discharge of its duties hereunder and in the management of the Trust.

Experts, Advisers and Agents. The Trustee may: (a) in relation to these presents act act, or not act, and rely on the opinion or advice of or information obtained from any solicitor, attorney, auditor, accountant, appraiser, valuer valuator, engineer or other expert, whether retained by the Trustee or by US Gold, Callco WSI and/or Exchangeco CERI or otherwise, and may retain or employ such assistance assistants as in its reasonable opinion may be necessary to the proper determination and discharge of its powers and duties and determination of its rights or duties hereunder and may pay proper and reasonable compensation for all such legal and other advice or assistance as aforesaid;. The fees of such experts are to be part of the Trustee’s fees hereunder; and (b) employ such agents and other assistance assistants as it may reasonably require for the proper determination and/or discharge of its powers and duties hereunder; and (c) , and may pay reasonable remuneration for all services performed for it (and shall be entitled to receive reasonable remuneration for all services performed by it) in the discharge of the trusts hereof and compensation for all reasonable disbursements, costs and expenses made or incurred by it in the discharge of its duties hereunder and in the management of the Trust.

The Trustee may: (a) in relation to these presents act and rely on the opinion or advice of or information obtained from any solicitor, attorney, auditor, accountant, appraiser, valuer or other expert, whether retained by the Trustee or by US Gold, Callco Newmont and/or New Exchangeco or otherwise, and may retain or employ such assistance assistants as in its reasonable opinion may be necessary to the proper determination and discharge of its powers and duties and determination of its rights or duties hereunder and may pay proper and reasonable compensation for all such legal and other advice or assistance as aforesaid; (b) employ such agents and other assistance assistants as it may reasonably require for the proper determination and/or discharge of its powers and duties hereunder; and (c) pay reasonable remuneration for all services performed for it (and shall be entitled to receive reasonable remuneration for all services performed by it) in the discharge of the trusts hereof and compensation for all reasonable disbursements, costs and expenses made or incurred by it in the discharge of its duties hereunder and in the management of the Trust.

The Trustee may: (a) in relation to these presents act and rely on the opinion or advice of or information obtained from any solicitor, attorney, auditor, accountant, appraiser, valuer valuer, engineer or other expert, whether retained by the Trustee or by US GoldAbitibiBowater, Callco Bowater Holdings and/or Exchangeco AbitibiBowater Canada or otherwise, and may retain or employ such assistance assistants as may be necessary to the proper determination and discharge of its powers and duties and determination of its rights or duties hereunder and may pay proper and reasonable compensation for all such legal and other advice or assistance as aforesaid;; and (b) employ such agents and other assistance assistants as it may reasonably require for the proper determination and/or discharge of its powers and duties hereunder; and (c) , and may pay reasonable remuneration for all services performed for it (and shall be entitled to receive reasonable remuneration for all services performed by it) in the discharge of the trusts hereof and compensation for all reasonable disbursements, costs and expenses made or incurred by it in the discharge of its duties hereunder and in the management of the Trust.

The Trustee may: (a) in relation to these presents act and rely on the opinion or advice of or information obtained from any solicitor, attorney, auditor, accountant, appraiser, valuer valuer, engineer or other expert, whether retained by the Trustee or by US Gold, Callco Goldstrike and/or Exchangeco the Corporation or otherwise, and may retain or employ such assistance assistants as may be necessary to the proper determination and discharge of its powers and duties and determination of its rights or duties hereunder and may pay proper and reasonable compensation for all such legal and other advice or assistance as aforesaid, such fees of experts to form part of the Trustee's expenses hereunder; (b) retain or employ such agents and other assistance assistants as it may reasonably require for the proper determination and/or and discharge of its powers and duties hereunder; and (c) pay reasonable remuneration for all services performed for it (and shall be entitled to receive reasonable remuneration for all services performed by it) in the discharge of the trusts hereof and compensation for all reasonable disbursements, costs and expenses made or incurred by it in the discharge of its duties hereunder and in the management of the Trust.
