Facility Condition. On the Expiry Date, the Facility and each element comprising the Facility will be in a condition which is:
(a) consistent with the Facility and each of the elements of the Facility having been designed and constructed in accordance with the applicable design life requirements set out in Schedule 2 [Design and Construction Protocols] and Schedule 3 [Design and Construction Specifications] of this Agreement; and
(b) consistent with Project Co having performed the Services and maintained the Facility in accordance with Schedule 4 [Services Protocols and Specifications].
Facility Condition. Except as disclosed to First Mortgage Lender in connection with its making of the First Mortgage Loan, the Facility is in good and habitable condition and there are no deficiencies in the repair or maintenance of the Property that threaten the health or safety of its residents and their invited guests. There is no material uncured violation at the Property of any building or housing code or similar law or ordinance, and the physical configuration of the Property is not in material violation of the Americans With Disabilities Act.
Facility Condition. The CEO or Board Officer will be responsible for the condition of the facility after use and for the repair of any damages or extraordinary cleaning that may be required that is caused by the group, whether or not the CEO or Board Officer attends such meeting.
Facility Condition. (a) The condition of the Facility (lobby, restaurants, meeting space) shall be at least the same in level of quality, appearance and functionality as on the day of NYL’s site inspection or the date of the Agreement. There shall be sufficient running water (hot and cold) and air conditioning (heat/cool air) throughout the NYL event date.
Facility Condition a. Licensee warrants that, upon termination of this Agreement, it will return the Facility in the same condition it was received. This includes all aspects of the Facility and its grounds, (e.g. all buildings, fixtures, pathways, roads, landscaping, water features, wildlife), as well as the sanitation of the entire geographically contiguous area. The Licensee may make permanent improvements only with the written, expressed consent of the UNIVERSITY. Any such improvements shall be paid for by Licensee and be made at no cost to University.
b. Licensee has inspected the Facility and has independently determined that the Facility is suitable for its intended uses. The University makes no representations concerning the Facility and the suitability for the uses or purposes intended by Licensee.
c. Representatives of both parties will conduct a joint inspection of the Facility prior to Licensee’s use to identify and record any pre-existing damage or conditions. Excluded elements of any specific Facility will be clearly identified and, as necessary, secured or marked to clarify operational boundaries. Additionally, the Licensee will remove from the Facility any materials that cannot be fully sanitized after being exposed to Licensees’ use of the Facility, unless said materials can otherwise be fully protected from damage or contamination. Any materials that are the property of University that cannot be fully sanitized after being exposed to Licensees’ use of the Facility shall be replace by Licensee at no cost to University.
d. Upon conclusion of Licensee’s use under this Agreement, the parties will jointly inspect the Facility to identify and record any loss, damage or changed conditions that occurred during the course of Licensee’s use. In the event that no damage is identified during the course of the inspection, University will provide written confirmation to Licensee.
e. Reasonable wear and tear excepted, Licensee agrees to reimburse University for all costs associated with repairs of damage identified during the inspection, and disposal of any personal property left at the Facility by Licensee or its agents, employees, volunteers, and guests that is not addressed by paragraph c above.
f. Repairs will be made by the University or by a contractor of University’s choosing. As soon as practical after identification of damage, University will present Licensee with a cost estimate for repairs unless a different approach is agreed to in writing. The parties will en...
Facility Condition. Renter is responsible for leaving facility in the condition it was found. Failure to do so will result in renter being unable to rent for future events, depending upon time and supplies needed to return facility to prior condition.
Facility Condition. The Town makes no representations or warranties as to the condition of the facility or its adequacy for the Applicant’s proposed use. The Applicant agrees to use the facility “AS IS” and further agrees that it is the Applicant’s responsibility to return the facility to the condition in which the Applicant found the facility prior to the Applicant’s use. This responsibility includes, but is not limited to, the obligation to (i) sweep and mop all floors as needed; (ii) wipe down all tables and counters; (iii) return all chairs and tables to designated storage areas; and (iv) pick up and dispose of all trash (paper, cans, plastics, cigarette butts, etc.) created by the event in and around the facility. All trash and recycling containers are clearly labeled, and should be used accordingly.
