Facility Document. This Amendment shall constitute a Facility Document under the terms of the Receivables Loan Agreement as amended hereby.
Facility Document. The Parties designate this Deed as a Facility Document.
Facility Document. It is acknowledged and agreed by each of the parties to this Deed that from the date of this Deed, this Deed shall constitute (i) a Facility Document as defined in the Project Loan Agreement, (ii) a Facility Document as defined in the Bank Loan Agreement, (iii) a Project Facility Document as defined in the Bank Loan Agreement, and (iv) a Bank Document as defined in the Project Loan Agreement.
Facility Document. This Waiver shall constitute a Facility Document under the terms of the Credit Agreement.
Facility Document. It is acknowledged and agreed by each of the parties to this Deed that this Deed shall constitute a Facility Document.
Facility Document. This Agreement shall constitute a "Facility Document" for purposes of the Facility Agreement and the other Facility Documents.
Facility Document. This paragraph (b) shall not apply to the extent a loss, liability or cost is compensated for by an increased payment under clause 15.2 or paragraph (a) above. 15.6.3 A Finance Party making, or intending to make, a claim under paragraph (b) above shall promptly notify each Company. 16. CURRENCY INDEMNITY (a) If any sum due from any Company under the Facility Documents (a "Sum"), or any order, judgment or award given or made in relation to a Sum, has to be converted from the currency (the "First Currency") in which that Sum is payable into another currency (the "Second Currency") for the purpose of: (i) making or filing a claim or proof against that Company; or (ii) obtaining or enforcing an order, judgment or award in relation to any litigation or arbitration proceedings, the relevant Company shall as an independent obligation, within ten (10) Business Days of demand, indemnify CEP against any cost, loss or liability arising out of or as a result of the conversion including any discrepancy between the rate of exchange used to convert that Sum from the First Currency into the Second Currency and the rate or rates of exchange available to that person at the time of its receipt of that Sum. (b) Each Company waives any right it may have in any jurisdiction to pay any amount under the Facility Documents in a currency or currency unit other than that in which it is expressed to be payable. 17.
Facility Document. The Agent shall not be required to keep itself informed as to the performance or observance by the Borrowers of this Agreement or any other Facility Document or any other document referred to or provided for herein or therein or to inspect the properties or books of the Borrowers or any Subsidiary. Except for notices, reports and other documents and information expressly required to be furnished to the Lenders by the Agent hereunder, the Agent shall not have any duty or responsibility to provide any Lender with any credit or other information concerning the affairs, financial condition or business of the Borrowers or any of their Subsidiaries which may come into the possession of the Agent or any of its Affiliates. The Agent shall not be required to file this Agreement, any other Facility Document or any document or instrument referred to herein or therein, for record or give notice of this Agreement, any other Facility Document or any document or instrument referred to herein or therein, to anyone.
Facility Document. No failure on the part of the Agent or any Bank to exercise, and no delay in exercising, any right hereunder or under any other Facility Document shall operate as a waiver thereof or preclude any other or further exercise thereof or the exercise of any other right. The remedies herein provided are cumulative and not exclusive of any remedies provided by law.
