FACILITY FEE PROVISIONS. Effective on the Effective Date, section 4.1(a) of the Credit Agreement is amended and restated in its entirety to read as follows, and the revisions reflected below shall be fully applicable from and after the Effective Date, but with any Facility Fee accruing for any period ending prior to the Effective Date being payable at the rate in effect prior to the Effective Date of this Amendment: 1. (a) The Borrower agrees to pay to the Administrative Agent a Facility Fee ("FACILITY FEE") for the account of each Non-Defaulting Lender which has a General Revolving Commitment, for the period from and including the Effective Date to but not including the date the Total General Revolving Commitment has been terminated, on the average daily amount of the Total General Revolving Commitment, whether used or unused, at the Applicable Facility Fee Rate, payable quarterly in arrears on the first Business Day of each April, July, October and January, commencing on the first Business Day of July 1997.
